Description:
Purchase of electricity for the needs of the Polish Academy of Sciences and its organizational units

1. The subject of the contract is the purchase of active electricity for the purposes of operation of real estate used by entities without legal personality and real estate under the direct management of the Contracting Authority, in accordance with the applicable regulations, quality standards specified in the Act of 10 April 1997. The Energy Law (Journal of Laws of 2022, item 1385), hereinafter referred to as the "Energy Law" and the implementing acts issued on its basis. 2. The estimated volume of electricity consumption is 2792.664 MWh, for 47 energy consumption points, hereinafter referred to as "PPE" owned by the Contracting Authority, specified in the appendices to this Terms of Reference, broken down into tariff groups. The Contracting Authority declares that it is the final customer within the meaning of the Energy Law, which means that the electricity purchased from the Contractor is intended only for its own needs not related to the activity of electricity trading or distribution of electricity.

The estimated volume of electricity consumption is 2792.664 MWh, for 47 energy consumption points, hereinafter referred to as "PPE" owned by the Contracting Authority, specified in the appendices to this Terms of Reference, broken down into tariff groups. The Contracting Authority declares that it is the final customer within the meaning of the Energy Law, which means that the electricity purchased from the Contractor is intended only for its own needs not related to the activity of electricity trading or distribution of electricity. 3. The Contracting Authority has in 1 (one) EPP a renewable source of electricity, hereinafter referred to as "RES" from a photovoltaic installation. The Contractor undertakes to perform the function of an entity responsible for balancing electricity produced in a photovoltaic installation and fed into the grid of the local Distribution System Operator, hereinafter referred to as the "DSO", when energy is produced in RES not consumed by the generator. The costs resulting from the balancing of electricity fed into the local DSO network shall be covered by the Contractor. 4. The description of the subject matter of the contract is set out in Appendix No. 1 to the Terms of Reference and in the draft provisions of the agreement constituting Appendix No. 8 to the Terms of Reference. Detailed information on individual EPPs is set out in Appendices 1.1 and 1.2 to the OPZ. 5.The estimated volume of electricity consumption given in paragraph 2 is an estimate and is used to calculate the price of the offer and to compare them. The data contained in Appendix No. 1.2 to the OPZ, concerning the estimated electricity consumption, have been prepared on the basis of the historical profile of electricity consumption and the currently held tariff groups. The settlement will be based on the actual amount of electricity consumed in individual PPE and unit prices specified in the Contractor's offer.6.The Contracting Authority reserves the right to change the amount of electricity actually supplied during the term of the agreement in terms of the forecasted volume of electricity [MWh] in individual tariff groups, specified in the Offer Form constituting Appendix No. 2 to the Terms of Reference. Any change in the estimated volume of electricity by the Contracting Authority will not result in additional costs on the part of the Contractor, which the Contracting Authority will be entitled to claim from the Contracting Authority, apart from the settlement for the amount of electricity actually consumed according to the unit prices specified by the Contractor in the Offer Form. In this respect, the Contractor will not have any additional claims against the Contracting Authority apart from the remuneration specified in the contract. The Contracting Authority indicates that the reduction in the amount of actual electricity consumption may not exceed 50% of the planned consumption.7.This order does not include the electricity distribution service.8.For all PPE, this is another change of supplier and the Contracting Authority has concluded electricity distribution agreements for an indefinite period of time, subject to PPE, for which it will be the first change of supplier after the effective expiry of the existing contracts terminated 1.1 to the Description of the subject matter of the contract.9.In order to perform the subject matter of the contract, the Contractor must have concluded a valid agreement, i.e. the so-called General Distribution Agreement, with the local Distribution System Operator (DSO), on the basis of which it may sell electricity through the distribution network of this DSO to all indicated facilities covered by the proceeding
