The subject of the order is the delivery of brand new (year of production 2019) forest machines of the type:

Forwarder 1 item

For the Zamrzenica Forest District with technical requirements and equipment described in detail in Annexes 2a and 2b to the ToR.

The items of the contract will be delivered at the cost of the Contractor to the seat of the Employer. A detailed description of the subject of the contract is contained in par. 3 ToR.

1. The Contractor shall provide at least 24 months warranty for the subject of the contract (in full months), calculated from the date of signing by the parties of the acceptance report of the subject of the contract without comments or from the date of removing legal defects, hidden or difficult to identify physical defects.

2. The warranty granted covers all costs related to warranty repairs of the subject of the contract, in particular: costs of travel, labor, stay of service technicians, transport of the machine to the service, brand new parts and materials approved by the manufacturer.

3. During the warranty period, the Contractor shall ensure periodic warranty inspections at the machine's standstill in accordance with the manufacturer's recommendations.

4. Costs for warranty and subsequent inspections up to the amount of the first 6,000 mth hours of operation of the machine, made in accordance with the machine manufacturer's recommendations, will be covered by the Ordering Party based on the price resulting from the Contractor's offer, in accordance with the terms and scope of the warranty.

5. The scope of the warranty does not cover: operating fluids, filters, belts, fuses, bulbs, brake linings, unless their defects have been found to justify their replacement under the warranty.

6. In the event of replacement of parts during the warranty period with brand new ones, the Contractor shall provide for such parts a guarantee such as for the entire subject of the contract or the manufacturer's guarantee, if it would be more favorable for the Ordering Party (the warranty period begins on the date of receipt of the repair).

7. The Contractor shall ensure that the parts and materials used during the inspections and repairs are brand new and in accordance with the manufacturer's instructions, applicable regulations and norms and norms binding in Poland and the European Union.

8. The working time of the warranty service will be 6 days a week (Monday to Saturday, excluding statutory holidays).

9. The Contractor shall remove the reported failure of the subject of the contract within 3 consecutive days of service operation following the sending of the failure notification by fax or e-mail.

10. In exceptional circumstances, independent of the Contractor, the Contractor has the right to contact the Employer before the deadline specified in point 9 with a reasoned request for extending the deadline for removing the failure of the subject of the contract by another 2 days of service. The final decision as to the validity of the application lies with the Employer.

11. In the case of repairs not covered by the warranty during the period of its validity, the Employer will cover the justified, agreed and accepted costs of parts, materials, travel to the subject of the contract, labor and stay of service technicians.

12. Under the terms of the warranty on sales, the Purchaser has the right to exchange the object of sale for a new one, the same or different, with technical and operational parameters not lower than the parameters of the replaced machine, free from defects, if during the warranty period the subject of the contract will be repaired 5 times, and the machine will continue to indicate defects that prevent its use for its intended purpose or the Contractor shall make a written statement that the removal of the defect of the machine is impossible. In this case, the warranty and guarantee period will start to run as soon as the new machine has been commissioned for use.

13 The Contractor will train (as part of the contract and at his own expense) four persons indicated by the Employer to operate the machines which are the subject of the contract. The date of the training will be determined in agreement between the Parties. The training will consist of a theoretical part - in terms of service and ongoing repairs for the Employer's employees, and a practical part - after receiving the subject of the order - 24 hours for each of the operators.
