1. Subject of the contract - granting and servicing a long-term loan intended to cover the planned budget deficit.
2. Loan amount – up to PLN 40,000,000.00; but not less than PLN 20,000.00.00.
3. Disbursement of the credit facility in the period from 20 December 2023 to 28 December 2023
4. Commencement of repayment of principal instalments – from 29 March 2024
5. Repayment of the principal in the case of taking a loan in the amount of PLN 40,000,000.00 – in 32 quarterly installments.
6. The procedure is conducted in an open tender procedure as provided for in Article 132 of the Public Procurement Law.
7. Technical and organizational requirements for electronic correspondence are described in Chapters XIII - XIV of the Terms of Reference.
8. The method of evaluation of bids is described in Chapter XX of the Terms of Reference.
9. The Contracting Authority does not require the payment of a bid bond.
10. The Contracting Authority shall not require the submission of a performance bond.
1. The offer consists of:
1) completed offer form (OFFER) - Appendix No. 3 to the Terms of Reference,
2) a statement on the lack of grounds for exclusion from the procedure and meeting the conditions for participation in the procedure – ESPD (Appendix No. 4 to the Terms of Reference);
3) STATEMENT (Appendix No. 5 to the Terms of Reference) concerning the grounds for exclusion from Art. 5k of Regulation 833/2014 as amended by Regulation 2022/576 and Article 7(1) Article 1 of the Act on Special Measures to Counteract Support for Aggression against Ukraine and to Protect National Security;
4) completed price form (loan repayment schedule) - Appendix No. 6 to the Terms of Reference;
5) documents/information constituting a trade secret (if applicable);
(6) power of attorney (if applicable);
7) statement on the performance of the contract by the contractors jointly applying for the award of the contract – Appendix No. 7 to the Terms of Reference (if applicable).
2. Information on documents submitted to confirm the lack of grounds for exclusion from the procedure by contractors having their registered office or place of residence outside the Republic of Poland is provided in Chapter X of the Terms of Reference.
3. The tender shall be accompanied by a statement valid as at the date of submission of the tender stating that there are no grounds for exclusion from the tender and that the conditions for participation in the tender are met. The declaration consists of:
(1) the form of the Single European Procurement Document (ESPD),
2) the STATEMENT form (Appendix No. 5 to the Terms of Reference) concerning the grounds for exclusion from Art. 5k of Regulation 833/2014 as amended by Regulation 2022/576 and Article 7(1) Article 1 of the Act on Special Arrangements for Counteracting Support for Aggression against Ukraine and for the Protection of National Security.
4. The means of proof required of the contractor shall include:
1) information from the National Criminal Register in the scope of:
a) Article 108(1)(1) and (2) of the Public Procurement Law,
b) Article 108(4) of the Public Procurement Law concerning the prohibition of bidding for a public contract as a penal measure,
- prepared no earlier than 6 months before its submission;
2) a contractor's statement, within the scope of Article 108(1)(5) of the Public Procurement Law, on the lack of membership in the same capital group within the meaning of the Act of 16 February 2007 on Competition and Consumer Protection with another contractor who submitted a separate bid, or a statement on belonging to the same capital group, together with documents or information confirming the preparation of the offer independently of another contractor belonging to the same capital group – the template of the statement constitutes Appendix No. 10 to the Terms of Reference;
3) an excerpt or information from the National Court Register or the Central Register and Information on Economic Activity, within the scope of Article 109(1)(4) of the Public Procurement Law, prepared no earlier than 3 months before submission, if separate regulations require an entry in the register or register;
4) the contractor's statement (Appendix 8 to the Terms of Reference) on the validity of the information contained in the statement referred to in Article 125(1) of the Public Procurement Law (ESPD) with respect to the grounds for exclusion from the procedure indicated by the contracting authority, referred to:
a) Article 108(1)(3) of the Public Procurement Law,
b) Article 108(1)(4) of the Public Procurement Law regarding the prohibition of bidding for a public contract as a preventive measure,
c) Article 108(1)(5) of the Public Procurement Law regarding the conclusion of an agreement with other contractors aimed at distorting competition,
d) Article 108(1)(6) of the Public Procurement Law.
5) the contractor's statement (Appendix No. 9 to the Terms of Reference) on the validity of the information contained in the statement regarding the grounds for exclusion from the procedure indicated by the contracting authority, referred to in:
(a) Article 5k of Regulation No 833/2014 as amended by Regulation 2022/576,
b) Article 7(1) of the Act on Special Measures to Counteract Support for Aggression against Ukraine and to Protect National Security;
