The subject of this order is the delivery of electricity to the facilities listed in Annex 1 to the Terms of Reference - description of the subject of the order. Electricity demand in the period from 1.1.2020 to 31.12.2021 is: 8,097 102 kWh (basic order) 10,523,244 kWh (with the option of 30% option) - according to Annex 1 to the ToR - description of the subject of the order,

1.1. The subject of this order is the delivery of electricity to the facilities listed in Annex 1 to the Terms of Reference - description of the subject of the order. Electricity demand in the period from 1.1.2020 to 31.12.2021 is: 8,097 102 kWh (basic order) 10,523,244 kWh (with the option of 30% option) - according to Annex 1 to the ToR - description of the subject of the order,

1.2. The detailed scope of the order is specified in Annex No. 1 to the ToR, in accordance with the provisions of the Act of 10.4.1997 Energy Law. Other conditions related to the contract are set out in the draft electricity sales contract - Annex No. 2 to the ToR.

1.3. Electricity will be supplied on terms specified in the provisions of the Act of 10.4.1997 - Energy Law and in accordance with the executive regulations issued to this law, in particular with the standards of customer service quality specified in the Regulation of the Minister of Energy of 6.3.2019 in on detailed principles of shaping and calculating tariffs and settlements in trading in electricity. The quality parameters of electricity in the distribution part are regulated by the Ordinance of the Minister of Economy of 4.5.2007 on detailed conditions for the operation of the power system.

1.4. The distribution services will be provided on the basis of a separate agreement concluded by the Ordering Party with the appropriate Distribution System Operator (OSD) - OSD data is included in Appendix No. 1 to the ToR. The reserve seller is Energa Obrót SA.

1.5. The requirements for the Contractor are described in the draft sales contract constituting Annexe No. 1 to the Terms of Reference. Performing activities resulting from the power of attorney, constituting Annex No. 2 to the Agreement on the sale of electricity, hereinafter referred to as the Agreement.

1.6. Existing electricity sales contracts with existing electricity sellers for electricity consumption points included in Appendix No. 1 to the Terms of Reference are concluded for a definite and indefinite period of time, and a detailed description for each PPE is found in the column "Duration of the current contract".

1.7. Attachment No. 1 to the ToR briefly informs the parameters (tariff group, contracted capacities) that may differ from currently in force or may be subject to change during the duration of the electricity contract.

1.8. In the course of the contract, the Ordering Party reserves the right to reduce or increase the total amount of energy purchased, up to ± 30% of the basic order specified in Appendix No. 1 to the Terms of Reference. The occurrence of the circumstances referred to above will result in a corresponding reduction or increase in the remuneration due to the Contractor under this contract. Increasing or reducing the amount of electricity does not constitute grounds for any claims on the part of the Contractor.
