In connection with the economic consequences of the "Corona Crisis", the "Economic Stabilization Fund" ("WSF") was established with the Economic Stabilization Fund Act - WStFG to revise the Stabilization Fund Act - StFG and the administration of the WSF of the Federal Republic of Germany - Finanzagentur GmbH ("Finanzagentur") transfer. The WSF is a non-legal fund with the task of implementing the necessary measures to support the German real economy by stabilizing companies and securing jobs to the required extent for a limited period.

In connection with the administration of the WSF, the client - the financial agency - has a multitude of new tasks. These include accompanying stabilization measures and, if necessary, submitting statements on selected stabilization measures, negotiating and concluding contracts for capital instruments and guarantees.

Against this background, the financial agency needs support in the support of stabilization measures and the preparation of statements to be made for companies in various industries (including but not limited to transport & logistics, automotive, industry, tourism & tour operators, textiles, health, hotel and hospitality, retail chains & Department stores, mechanical and plant engineering) or medium-sized companies (as defined by the IfM Bonn, insofar as they meet the requirements of Section 16 (2) StFG) or startups (which meet the requirements of Section 22 (2) sentence 2 StFG) ).

For this purpose, a pool of consultants in two lots is to be set up using this award procedure, from which the processing of individual measures is mandated at short notice.

The support of the finance agency does not explicitly extend to:

- Advice and services related to taxes, law, regulatory environment, accounting and other specialized or technical advice;

- Specialized valuation tasks such as real estate valuations or valuations of structured financial products.

Listed companies:

The advisory services regarding listed applicant companies include in particular the following aspects:

- assessment of the current and expected economic situation of the applicant company and its continuation forecast;

- assess the impact of the stabilization measures with a view to restoring sufficient capital and liquidity;

- assessment of the effects of the stabilization measures on the existing financial instruments, the rating, access to the capital market and the owners of the applicant company;

- Assessment and design of the exit options of the WSF depending on the stabilization instruments to be used;

- Determination of the conditions of the stabilization measures and consideration for the WSF in the sense of the appropriate economy for the WSF; In the case of an investment: determination of an appropriate purchase price;

- Possibly. Creation of a fairness opinion for the WSF;

- Supporting the client in drafting and validating an opinion.

Unlisted companies:

The advisory services regarding non-listed applicant companies include the following aspects in particular:

- assessment of the current and expected economic situation of the applicant company and its continuation forecast;

- Determination of the scope and structure of equity and debt capital requirements and the stabilization instruments to be used;

- assess the impact of the stabilization measures with a view to restoring sufficient capital and liquidity;

- assessment of the effects of the stabilization measures on the existing financial instruments, the rating, access to the capital market and the owners of the applicant company;

- Assessment and design of the exit options of the WSF depending on the stabilization instruments to be used;

- Determination of the conditions of the stabilization measures and consideration for the WSF in the sense of the appropriate economy for the WSF; In the case of an investment: determination of an appropriate purchase price;

- Possibly. Creation of a fairness opinion for the WSF;

- Supporting the client in drafting and validating an opinion.
