The subject of this contract is a service consisting in: "Granting a long-term PLN loan to the Municipality of braniewo in the amount of PLN 6,000,000.00, to finance the investment task entitled "Development of public space of the MOS area – STAGE I football field and construction of a multifunctional pitch with the necessary infrastructure" and the investment task entitled "Thermo-modernization of educational and public facilities".

1. Detailed description of the subject of the contract:

1) Planned loan period: from the date of starting the loan to 31 December 2037.

2) Interest rate on the loan at a variable interest rate +/- bank margin.

3) Grace period for repayment of principal: until the end of 2022

4) Base rate to determine the interest rate: at the average WIBOR 3M rate / the offer should be taken the average WIBOR 3M of 01.08.2022. i.e. 6.76%.

5) Loan collateral: blank promissory note together with a promissory note declaration.

6) The Ordering Party reserves the right to use part of the loan amount. The Contracting Authority shall inform the Contractor in writing and propose to change the agreed repayment schedule in order to adjust the loan repayment amount to the amount of the loan mobilised.

7) In the event of non-use of the full amount of the loan or part of it, the Ordering Party will not be charged with any additional costs.

8) It is possible to repay the loan early, its part without incurring any costs in this respect, fees, commissions. In the case of early repayment of the loan, interest will be calculated for the period of its actual use.

9) In the case of early repayment of the loan, interest will be calculated for the period of its actual use.

10) Repayment of principal and interest payable on a quarterly basis up to the 15th day of the month ending the quarter.

(11) The capital shall be repaid in equal quarterly instalments according to the following schedule:

Number of loan installments – 60 installments, including:

• 2023 – 3 installments of PLN 24,900.00 + last PLN 25,300.00

• 2024 – 3 installments of PLN 24,900.00 + last PLN 25,300.00

• 2025 year – 2037 – 52 equal installments of PLN 111,540.00

2. The Contracting Authority does not reserve the obligation to personally perform key tasks falling within the scope of the subject of the contract by the Contractor or by individual Contractors jointly applying for the award of the contract.

3. Deadline for the implementation of the subject of the contract: from the date of conclusion of the contract to 31 December 2037.
