1. The subject matter of the Agreement consists of the basic (guaranteed) scope and the scope of the option right.
2. The subject of the Agreement should be implemented in accordance with the Agreement, including the Description of the Subject of the Contract, hereinafter referred to as "OPZ", constituting Annex 1 to the Agreement and the Contractor's offer, constituting Annex 2 to the Agreement.
3. The basic scope of the subject of the Agreement includes the lease of the fixed telephone system in VoIP technology (hereinafter referred to as the Agreement and OPZ "System"), which consists of devices and software specified in paragraph 4 point 1 (hereinafter referred to as "devices" and "software"), their installation and service support for a period of 48 months.
4. The scope of the subject matter of the Agreement covered by the option right and the rules for exercising the option are regulated in § 2 of the Agreement.
1. Within the basic subject matter of the Contract, the Contractor shall:
1) Provide the Ordering Party with the following devices and software:
a) Telecommunications Server in the amount of min. 2 pcs.,
b) Application Server in the amount necessary for the proper operation of the System,
c) Voice Gates in the number of min. 2 pcs.,
d) SBC (Session Border Controller) gates in the number of min. 4 pcs.,
e) Standard IP cameras in the amount of 800 pcs.
f) Standard TDM Devices in the amount of 50 pcs.,
g) Advanced IP cameras in the amount of 140 pcs.,
h) Advanced IP cameras with an adapter in the amount of 110 pcs.
i) Helpline Service System in the amount of 1 pc.,
2) implements the System in locations indicated by the Ordering Party in Warsaw,
3) conduct authorized training for three system administrators,
will provide service support for the System for a period of 48 months, in accordance with the draft Agreement and the Description of the Subject of the Order (hereinafter OPZ) constituting Annex 1 to the draft Agreement.
The quantities indicated in paragraph 1(1)(a), (c) and (d) shall be the minimum quantities necessary for the proper functioning of the System.
The Contractor may include a larger number of devices in the offered System.
Offering 2 or 4 pcs. additional Telecommunication Servers will be scored on the terms set out in Chapter 18 of the SWZ.
2. The scope of the subject matter of the Agreement covered by the option right includes:
1) increasing the scope of the contract, up to:
a) 40 pieces of Standard IP Cameras,
b) 10 pieces of Standard TDM Devices,
c) 15 Advanced IP Cameras,
d) 5 Starters.
2) Increase the scope of the order, up to 200 pieces of Softphone licenses specified in Table 17 OPZ.
3) the right to acquire ownership of the fixed-line telephony system in VoIP technology, for an amount equivalent to 1/48 of the gross remuneration for the basic scope of the contract. Exercising the right to purchase infrastructure is tantamount to transferring ownership of devices and software to the Ordering Party.
3. The rules for triggering the option and settlements under the option are regulated in § 2 of the draft Agreement.
