Description:
Provision of services in the field of preparation and control of projects implemented under the FENG and OP IR

The subject of the contract is the preparation and implementation of audits of projects implemented under Measure 2.32 Technology credit and Measure 3.01 Environmental credit of the European Funds for Modern Economy Programme 2021-2027 and under the Smart Growth Operational Programme 2014-2020, Sub-measure 3.2.2 "Loan for technological innovations" co-financed by the European Regional Development Fund.

A detailed description of the subject of the contract, a list of tasks, deadlines and conditions for the implementation of the subject of the contract, payments, etc. are set out in the Draft Provisions of the Agreement (hereinafter: "PPU") and the Description of the Subject of the Contract (hereinafter: "OPZ").

The subject of the contract is the preparation and implementation of audits of projects implemented under Measure 2.32 Technology credit and Measure 3.01 Environmental credit of the European Funds for Modern Economy Programme 2021-2027 and under the Smart Growth Operational Programme 2014-2020, Sub-measure 3.2.2 "Loan for technological innovations" co-financed by the European Regional Development Fund.

A detailed description of the subject of the contract, a list of tasks, deadlines and conditions for the implementation of the subject of the contract, payments, etc. are set out in the Draft Provisions of the Agreement (hereinafter: "PPU") and the Description of the Subject of the Contract (hereinafter: "OPZ").

2. The Contracting Authority has appropriately divided the subject matter of the contract into the basic contract and the contract covered by the right of option.

A. The basic (guaranteed) order includes:

(1) preparation and carrying out:

up to 50 Project inspections (planned inspections in accordance with the Contracting Authority's annual control plan and ad hoc inspections not included in the RPK) at Beneficiaries implementing Project Projects (planned inspections in accordance with the Contracting Authority's annual control plan and ad hoc inspections not included in the RPK) at Beneficiaries implementing Projects

a) in 2024, up to 25 inspections of Projects (scheduled inspections in accordance with the Contracting Authority's annual control plan and ad hoc inspections not included in the RPK) at Beneficiaries implementing Projects;

b) in 2025 up to 25 inspections of Projects (planned inspections in accordance with the Contracting Authority's annual control plan and ad hoc inspections not included in the RPK) at Beneficiaries implementing Projects;

2) Preparation and submission to the Contracting Authority of full documentation related to each inspection carried out, i.e. containing all required documents and information ensuring a full audit trail.

3) Preparation of quarterly reports on the implementation of the subject of the contract.

The Contracting Authority allows for the possibility of changing/shifting the number of inspections between individual years. Such a change shall not exceed the maximum total number of 50 checks

for the basic order during the term of the Agreement.

A detailed description of the subject of the contract is included in the OPZ.

B. An Order under the Right of Option (Option) includes:

the possibility of carrying out inspections of the Projects in the maximum number of 150 inspections, after the completion of the basic order, the performance of which may be commissioned by the Contracting Authority to the Contractor once or multiple times during the term of the Contract. In order to exercise the right of option, the Contracting Authority shall submit to the Contractor an order in writing specifying the scope of the contract covered by the right of option

Detailed information on the option, including the scope, deadline for exercising this right by the Contracting Authority and the terms on which the Option will be exercised, are included in the OPZ (Appendix No. 1 to the Terms of Reference) and the PPU (Appendix No. 2 to the Terms of Reference).

The Contracting Authority shall inform that the right of option is an entitlement of the Contracting Authority, which it may, but does not have to exercise under this contract. The exercise of the right of option, in whole or in part, is reserved to the sole decision of the Ordering Party. If the Contractor does not exercise the right of the option in all or part of the Contractor, there will be no additional remuneration or any claim.

The Ordering Party in part I. V.2 of the OPZ defined the scope of the contract that may be outsourced to a subcontractor.
