The subject of the contract is the supply of electricity with a total estimated volume of 5,783,360 kWh for the following facilities:

1. Poviat Eldership in Limanowa (10 buildings),

2. Nursing Home in Limanowa,

3. Nursing Home in Mszana Dolna,

4. Nursing Home in Szczyrzyc,

5. I High School Władysław Orkan in Limanowa,

6. School Complex No. 1 Józef Piłsudski in Limanowa,

7. Technical and General Secondary School Complex John Paul II in Limanowa,

8. Complex of Educational Institutions in Limanowa,

9. School Complex National Education Commission in Tymbark,

10. Special Educational Center Maria Konopnicka in Dobra,

11. Technical and IT School Complex in Mszana Dolna,

12. Complex of upper secondary schools named after Eng. Józef Marek in Mszana Dolna,

13. Children's Holiday House in Poręba Wielka,

14. Poviat Headquarters of the State Fire Service in Limanowa,

15. Poviat Road Administration in Limanowa.

A detailed description of the subject of the contract, including the planned electricity consumption over a period of 24 months, the contractual capacity to date, the tariff group for individual facilities is attached as Annex 6 to the ToR. The list of units and collection points for the task: ", Supply of electricity for the needs of the Poviat Eldership in Limanowa and the organizational units of the Limanowski Poviat".

The Employer informs that photovoltaic panels have been installed in the units (objects) / collection points listed in section 3.1 of the Terms of Reference, where the produced energy will be used for own needs.

The forecast electricity consumption in individual organizational units is indicative for preparation of the offer and may change during the term of the contract, it does not constitute the Employer's obligation to purchase electricity in the given amount. Any change in consumption will not result in additional costs for the Ordering Party, except for billing for the actual amount of energy used according to the prices given in the offer. The electricity consumed by the Ordering Party will be measured using metering and billing systems owned by the Distribution System Operator, hereinafter referred to as "DSO".

The Purchaser reserves that the number of energy consumption points during the contract may be subject to change (both increase and decrease), in particular in the case of construction, creation, takeover, acquisition, sale, connection, liquidation, dissolution of facilities or conclusion of a comprehensive contract for the supply and distribution electricity for a specific organizational unit or outlet to balance the energy produced by the solar installation.

The contract will be carried out under the conditions set out in the Energy Law of 10.4.1997 (i.e. Journal of Laws of 2019, item 755, as amended), implementing provisions to this Act and generally applicable legal provisions.

The contractor undertakes to ensure the quality parameters of electricity in accordance with applicable law.

The Contractor's obligations will also include completing all formalities and arrangements with the current electricity supplier to maintain liquidity in energy supply and not to cause interruptions in the power supply, including those related to switching suppliers. The Employer shall, by the day of signing the contracts, provide the appropriate power of attorney to submit sales contract notifications on behalf of the Employer and to perform the activities necessary to perform the process of changing the seller.

The Contractor shall take all actions without undue delay, enabling the commencement of electricity supply within the time limit specified in point 5 of the Terms of Reference, having regard to the need to carry out the supplier switching procedure taking into account the complaint submission process in the event of negative verification of the notification.

In addition, the Employer will provide all missing data to supplement the above. documents.

Currently, the Employer has contracts (general and specific contracts) for the supply of electricity concluded with Tauron Sprzedaż Sp. z o. o. for a fixed period from 1.1.2019 to 31.12.2019 (for a period of 12 months) and a distribution service agreement concluded with Tauron Dystrybucja SA

The contractor will be responsible for the whole, including the course and timely execution of the contract, for quality, compliance with technical and quality conditions specified for the subject of the contract. Due diligence is required when performing the contract, understood as the diligence of a professional in the activities covered by the subject of this contract.
