"The subject matter of the contract is:
1. Supply of electricity and provision of electricity distribution services for the needs of Cities and Municipalities and their organizational units represented in the proceedings by the Town and Municipality of Pilawa
2. The material scope of the subject of the contract includes in particular:

The subject of the contract is the supply of electricity and the provision of electricity distribution services for the needs of Cities and Municipalities and their organizational units, represented in the proceedings by the Contracting Authority's Representative in the projected amount of approx. 32 571 016 kWh, for 19 contracting entities and their organisational units.
2. The detailed scope of the contract is set out in Appendix 7 to this Terms of Reference (hereinafter referred to as the Terms of Reference). Other terms and conditions concerning the performance of the contract are specified in the draft agreement for the sale of electricity – Appendix No. 2 to the Terms of Reference.
The subject of the Order is:

2. The detailed scope of the contract is set out in Appendix 7 to this Terms of Reference (hereinafter referred to as the Terms of Reference). Other terms and conditions concerning the performance of the contract are specified in the draft agreement for the sale of electricity – Appendix No. 2 to the Terms of Reference.
3. The supply of electricity and the provision of distribution services will be carried out under the conditions set out in the provisions of the Act of 10 April 1997 – Energy Law (Journal of Laws of 2022, item 1385) and in accordance with the implementing regulations issued to this Act, in particular with the standards of quality of customer service specified in the Regulation of the Minister of Climate and Environment of 29 November 2022 on the detailed rules for shaping and calculating tariffs and settlements in trade (Journal of Laws of 2022, item 1385).
4. The Distribution System Operator (DSO) for the Ordering Parties is PGE Dystrybucja S.A. with its registered office in Lublin, Warsaw Branch, 95 Marsa Street in Warsaw
5. The Contractor will also be obliged to obtain relevant documents from the DSO constituting the Confirmation of Deliveries (if they are due), as well as to notify the DSO for the performance of the agreement for the sale of electricity and the provision of distribution services.
6. Requirements for the Contractor:
6.1. submission of a sales agreement on behalf of the Contracting Authority to the Distribution System Operator for the purpose of executing the concluded electricity sale agreement,
6.2. representing the Contracting Authority in the process of changing the seller,
6.3. submit applications to the Distribution System Operator for the conclusion of distribution agreements,
7. The Appendix to the Terms of Use provides information on the distribution parameters (contractual capacity/tariff group) which may differ from those currently in force or may be subject to change during the term of the electricity sale agreement.
8. The Contracting Authority provides for the possibility of increasing the supply of electricity with the use of the right of option, in accordance with the PPL. The right of option is the possibility of increasing the supply of electricity under the terms of the concluded agreement by another 25% of the basic order. The Contracting Authority makes the possibility of exercising the right of option conditional on the addition of new electricity consumption points and an increase in the demand for the supply of electricity to the PPE in the annex to the Terms of Reference. The right of option is a right of the Contracting Authority, which may or may not be exercised as part of the performance of this agreement. If the Contracting Authority does not exercise the right of option, the contractor shall not be entitled to any claims in this respect. The condition for the exercise of the option right is the declaration of the Contracting Authority's intention to perform the contract under the option right and the submission of an appropriate partial order going beyond the supply of electricity constituting the basic order. An increase in the collection points or a change of the tariff group is possible only within the tariff groups that have been included in the Terms of Reference and priced in the Contractor's Offer Form.
