Consulting services for support on organizational, process and change management issues divided into the following macro areas: organization; business process reengineering; project management; change management; business plan.
The Supplier is required to perform, by way of example, the following activities: (i) operational and methodological support for the identification and design of the optimal organizational solution(s), with identification of the organizational sizing, of specific Rai areas; (ii) operational/methodological support for the design of processes and the drafting of procedures and operating instructions; (iii) operational/methodological support for the assessment of regulatory/compliance impacts on Rai's Regulatory Model; (iv) support for change management plans and actions on specific areas/projects; (v) definition and development of the detailed work plans of the various initiatives; (vi) project management activities for the management and coordination of initiatives and related monitoring of progress; (vii) support in the drafting of project documentation; (viii) drafting of operational business plans on specific areas. The Client reserves the right to request the performance of activities similar and contiguous to those listed above. The Successful Bidder may be required to operate independently, under the direct supervision of Rai, or to support an internal Rai working group. The total amount represents a non-binding maximum expenditure ceiling for Rai, up to which the various types of services covered by the Type 2 Framework Agreement may be commissioned, through the issuance of specific Requests for Execution. Therefore, also in order to take full advantage of the advantages of this type of contract and mitigate the risks of any supervening needs that were not previously planned or can be planned, the total amount of the contract is not subject to reduction.
Given the intellectual nature of the services covered by the contract, the social clause referred to in art. 57 of the Code. Similarly, pursuant to ANAC Model Notice no. 1, in consideration of the systematic interpretation of the provisions of the Code made in the relevant Explanatory Note, for this contract there is no indication of the CCNL referred to in art. 11, paragraphs 1 and 2, of the Code, nor the identification of the cost of labour referred to in art. 41, paragraph 14, of the Code.
Pursuant to art. 120(1)(a) of the Code, if the contract amount is not exhausted at the end of the original or extended contract term, the duration of the contract may be extended for the time necessary to use the entire contract amount. Conversely, the contract will be deemed to have been concluded before its natural expiry, if, before the expiry of the aforementioned duration, the total amount is exhausted.
Pursuant to art. 120, paragraph 11, of the Code, the duration of the contract, which is still in progress, may be modified for the time strictly necessary to conclude the procedures necessary for the identification of the new contractor. In this case, the contractor will be required to perform the services covered by the contract at the same - or more favourable - prices, agreements and conditions.
Pursuant to Article 120(1)(d) of the Code, the Contracting Authority reserves the right, during the course of execution, to replace the initial contractor with a new contractor in the following cases: a) termination of the contract due to excessive onerous performance pursuant to the Civil Code; b) termination of the contract due to supervening impossibility pursuant to the Civil Code. In such circumstances, the substitution may only affect persons who have participated in this procedure under the conditions proposed by the economic operator requested pursuant to Section 124 of the Code.
