The terms and definitions used in the call for participation and in the annexes to the call for participation are described in Annex 1 Description of the project and procurement procedure.
For the avoidance of doubt, the terms "candidate" and "group of undertakings" used in the request to participate and in the annexes refer to the same thing, i.e. an operator submitting an application to participate, which may be a single undertaking or an association of several undertakings.
DESCRIPTION OF THE ACQUISITION
The City of Oulu is looking for a Business Group to carry out the planning, development and implementation of the Oulu Experience Arena and Environment project in cooperation with the City.
The purpose of the procurement procedure is to select a group of companies for preparatory cooperation in the Development phase of the Project and to implement the Project as a concession contract in accordance with the Act on Public Contracts.
A Co-operation Agreement will be concluded with the selected Business Group, which defines the roles and responsibilities of the City and the winning Business Group during the Development phase of the project. As a rule, the City of Oulu requires the Business Group selected for the Project to implement the Experience Arena and Environment in connection with the Project and to commit to financing and owning the Experience Arena with a share of at least 50.1%. The holdings will be specified during the Development Phase. In return, the City of Oulu will hand over to the Business Group selected in the procedure the areas subject to the procurement procedure, to be defined in more detail during the procurement procedure, for the implementation of the Project.
In the consortium model to develop the Experience Arena and organise its implementation and operation, the Business Group establishes the Arena Consortium, which the City also joins. The City is not in charge of the Arena Consortium.
The City of Oulu may commit to becoming an owner in a real estate company possibly established by the Arena Consortium with a maximum share of 49.9%. The maximum investment is EUR 50 million. The maximum amount of the investment increases in line with the increase in the cost level at the time of the investment. The City of Oulu's investment may consist of equity and debt investments. The nature of the City of Oulu's investment will be specified during the procurement procedure. A prerequisite for the final investment decision is that the investment does not fall within the scope of prohibited State aid.
The city's investment is focused on the Experience Arena. The investment does not target possible other premises, such as business premises and a hotel, that may be located in connection with or in the vicinity of the Experience Arena.
In addition to the Experience Arena, the Business Group may propose solutions in terms of functions, facilities and architecture located in the Project Area subject to the procurement procedure, taking into account the City's objectives (Appendix 1, section 1.3.2 Procurement objectives) and criteria for comparing tenders (Appendix 1, section 6. Selection and comparison criteria). The city's goal is to provide the area with a sustainable, interesting, high-quality, functional and attractive overall solution.
In addition, the Project may include, as options, building rights for residential and/or commercial and office premises elsewhere in the City of Oulu area than in the Project Area. Options are defined in more detail in the Negotiation phase of the procurement procedure.
