The City of Helsinki seeks proposals for establishing public electric vehicle charging stations on city-owned land, with the supplier responsible for design, implementation, and operation while ensuring compliance with contract obligations.

The City of Helsinki requests your offer for the implementation of public charging stations for electric vehicles (AC and DC) on publicly owned areas in Helsinki. The charging stations to be procured are located in sites specified in the general plan for electric vehicle charging stations prepared by the City of Helsinki. All charging stations are intended for public use. The procurement unit is restarting the procurement process with this notice after previously suspending it. Changes have been made to this newly published notice as specified in Appendix C of the request for proposals, 'Changes to Documents'. OBJECTIVES FOR THE CONTRACT The Client's goal is to establish a contractual relationship with a supplier who can fulfill their obligations throughout the entire contract period according to the contract and its appendices. The Client also aims for the concession agreement and investment agreements to remain valid for as long as possible. The Client has secured the Supplier the possibility to refuse the implementation of the Charging Stations in situations where they can demonstrate that the implementation of the Charging Station would be unreasonable for the Supplier, thus ensuring that the concession agreement relationship is balanced between the Parties. On the other hand, the Concession Agreement and related Investment Agreements cannot prevent the Client from making changes in the same urban environment where the Supplier provides the Service. The right granted to the Supplier under the Concession Agreement must not also prevent the Client from withdrawing from the Concession Agreement either completely or partially if the Supplier is unable to fulfill their contractual obligations in one way or another. For this reason, the Client must have sufficient legal means to make changes to the contractual relationship and even to withdraw from it if necessary. The investment agreements will be terminated no later than when the Concession Agreement ends. Thus, the investment agreements remain valid after the expiration of the concession agreement for the notice period stated in the investment agreement. The Supplier's obligation to provide the Service ends, and the right to use under the Concession Agreement ceases at the moment the Concession Agreement ends. At the same moment, the Supplier's obligation to pay rent according to the Concession Agreement also ends. The Client does not pay the Supplier any compensation in case of termination. DESCRIPTION For this procurement, 42 sites have been selected from the general plan for electric vehicle charging stations prepared by the Client, and preliminary traffic plans have been created. The preliminary traffic plans are presented in Appendices 1.2.1 and 1.2.2 of the request for proposals. The City does not participate in financing or implementing the charging stations or related investments in any other way. According to the decision of the Helsinki City Board, the City contributes to the establishment of public charging stations on public areas on a commercial basis. In this case, the City grants operators the right to use street space for charging activities and issues the necessary permits for placing charging equipment in public areas owned by the City. The Supplier's task is to provide the Service to users and ensure the daily operation of the Charging Stations. The Supplier is responsible for the design and implementation of the Charging Stations and the Charging Infrastructure required, commissioning the equipment of the Charging Stations, maintenance, care of the Service, and necessary user support aimed at End Users. The Supplier pays the City of Helsinki rent for the acquired concession right as specified in the Concession Agreement attached to the request for proposals. The Supplier is also responsible for the permitting process and bringing the necessary electrical connections to the Charging Stations. After the contract period ends, the structures and electrical connections installed underground will become the Client's property without compensation. The Supplier commits to removing the Charging Stations and other above-ground structures and restoring the land it managed to its original state at the end of the contract period. CONTRACT PERIOD The contract may be signed at the earliest when the Client can enter into the contract without the constraints of the procurement law (1397/2016). If the signing of the contract is delayed and the delay is due to the Client, the delay will be factored into the delivery schedule accordingly. The contract is valid for a fixed term of ten (10) years from the signing of the contract (hereinafter referred to as the 'Contract Period'), during which time the Client estimates that the Supplier as the concession holder can reasonably expect to recover their investments made for the implementation of the Service and to make a profit on the invested capital and agreed-upon investments to achieve the objectives of the contract. This is an estimate, and the Supplier is responsible for ensuring that the Service is financially profitable for them. The Concession Agreement does not establish a mandatory purchase obligation. The Client strives as best as possible to ensure that the Charging Stations and charging points are implemented according to the number stated in the procurement documents. However, the Supplier cannot invoke the contract and demand that the stated number of charging stations and points must be implemented in the procurement documents, for instance, in a situation where the implementation of a certain charging station is abandoned and the parties cannot find alternative land for that charging station, leading to a reduction of the charging stations and points compared to what is presented in the procurement documents. The Concession Agreement does not establish an exclusive right to deliver the Service. If the Client decides to expand the Service while the Concession Agreement is in force, the Client has the right to procure similar services from a third party without hindrance from the Concession Agreement. Any unforeseen contractual changes will be evaluated according to Section 136 of the procurement law.
