Description:
The contract involves supplying a new computing server with GPU accelerators designed for local execution and fine-tuning of generative AI models, requiring significant GPU memory, along with mandatory compliance to specified operational and warranty conditions.

1. The subject of the contract is the supply of a computing server with GPU accelerators for artificial intelligence applications - 1 unit.
2. The server (hereinafter referred to as the Device) is intended for local (on-premise) launching, fine-tuning, and inference of generative artificial intelligence models, particularly generative models for creating images and videos (text-to-image, image-to-image, text-to-video, image-to-video). The device will be used for simultaneous loading of models with significant GPU memory requirements (models requiring at least 80 GB VRAM) as well as for processing training data and storing model checkpoints.
3. The detailed description of the subject of the contract, the description of the Ordering Party's requirements regarding execution and acceptance are defined by:
1) the description of the subject of the contract (hereinafter "OPZ") – annex no. 1 to the Terms of Reference (SWZ),
2) the draft contract provisions (hereinafter "PPU") – annex no. 2 to the Terms of Reference.
4. All requirements specified in the documents mentioned above represent minimum requirements, and their fulfillment is mandatory.
5. The Ordering Party requires that:
1) the server and all its computer components are brand new, unused, technically functional, safe, complete, and ready for operation;
2) the server is covered by support from its manufacturer from the date of signing the final protocol of contract execution for the subject of the order, at least until the expiry date of the warranty granted for the entire subject of the order. By manufacturer support, the Ordering Party means services provided by the server’s manufacturer or an authorized entity, under which, during the validity period, the Ordering Party will be able to freely download and install all security patches and software updates (including firmware);
3) the delivered server is equipped with complete cabling provided by the manufacturer for ensuring its proper operation;
4) the server was manufactured no earlier than 6 months before the delivery date and has not been previously assigned to any user;
5) the server comes from an official, authorized distribution channel of the manufacturer within the EU and is delivered in original, undamaged manufacturer packaging.
6. Regarding the IT security of the delivered server, the Contractor is obliged to execute the contract in a manner ensuring the security, interoperability, and manageability of the server in the Ordering Party’s IT environment. Installation of the server in the rack cabinet, connection to the Ordering Party’s network, and production start-up will be performed independently by the Ordering Party (see section III.5 point 5). The Contractor is obliged to cooperate with the Ordering Party’s representatives responsible for IT infrastructure and cybersecurity as necessary to conduct server acceptance. Detailed Contractor’s obligations in this regard and sanctions for breaches are specified in §3 PPU.
7. WARRANTY:
1) The Ordering Party requires that the subject of the contract – the server – is covered by the manufacturer's quality warranty along with service support provided by the manufacturer or an authorized service partner operating in the territory of Poland for a period not shorter than that specified in the OPZ (minimum 36 months from the date of signing the Final Acceptance Protocol),
2) the manufacturer’s warranty referred to in item 1 will include next business day response time, on-site standard service, and a service allowing the damaged data drives to remain with the Ordering Party (Keep Your Drive or equivalent),
3) detailed warranty conditions are specified in the draft contract provisions (§6 PPU),
4) if the standard warranty period of the manufacturer commences before the final acceptance date, the Contractor shall, at its own expense, ensure its appropriate extension or activation so that the Ordering Party has a full 36-month warranty from the date of signing the Final Acceptance Protocol,
8. The Ordering Party requires that the subject of the contract and the manner of its execution comply with the principle of “Do No Significant Harm” (DNSH), understood as the necessity to implement the contract in a way that does not violate environmental objectives and minimizes negative environmental impacts throughout the entire delivery cycle.
9. The Ordering Party does not allow participation in the procedure by contractors conducting business and having their registered office or place of residence in third countries that are not EU member states or parties to the WTO GPA or other international agreements ensuring reciprocal and equal access to the public procurement market. This prohibition also covers joint bids with such contractors, assigning parts of the order to subcontractors from those countries, and further subcontracting to them.
10. The Ordering Party informs that it does not exercise the right referred to in art. 16b sec. 2 of the Public Procurement Law, which would define less favorable conditions for orders for supplies or services originating from third countries that are not parties to the international agreements mentioned in section 9.
11. The Ordering Party indicates that the right to use certificates issued under the Certification Act provided in this Terms of Reference applies “exclusively to a contractor conducting business and having its registered office or place of residence within the European Union or a country that is a party to the WTO Government Procurement Agreement or other international agreements ensuring reciprocal and equal access to the public procurement market to which the European Union is a party.”

1. The subject of the contract is the supply of a computing server with GPU accelerators for artificial intelligence applications - 1 unit.
2. 3. The detailed description of the subject of the contract, the Ordering Party’s requirements concerning implementation and acceptance are defined by:
1) the description of the subject of the contract (hereinafter "OPZ") – annex no. 1 to the Terms of Reference (SWZ),
2) draft contract provisions (hereinafter "PPU") – annex no. 2 to the Terms of Reference.
4. All requirements specified in the documents referenced above are minimum requirements and their fulfillment is mandatory.
5. The Ordering Party requires that:
1) the server and all its computer components are brand new, unused, technically functional, safe, complete, and ready for operation;
2) the server is covered by manufacturer support from the date of signing the final execution protocol until at least the expiration date of the warranty for the entire subject of the order. Manufacturer support means services provided by the server manufacturer or an authorized entity, allowing the Ordering Party during the entire validity period to download and install security patches and software updates (including firmware);
3) the delivered server is provided with complete manufacturer-supplied cabling necessary for proper operation;
4) the server was manufactured not earlier than 6 months prior to delivery and has not been assigned to any user before;
5) the server originates from an official, authorized distribution channel of the manufacturer within the EU and is delivered in the original, undamaged manufacturer packaging.
6. In terms of IT security of the delivered server, the Contractor must perform the contract ensuring security, interoperability, and manageability of the server within the Ordering Party’s IT environment. The Ordering Party will independently install the server in the rack cabinet, connect it to its network, and perform production start-up (cf. section III.5 item 5). The Contractor must cooperate with the Ordering Party’s IT infrastructure and cybersecurity representatives as necessary for server acceptance. Detailed Contractor obligations and penalties for violation are specified in §3 of PPU.
7. WARRANTY:
1) The Ordering Party requires the server to be covered by the manufacturer’s quality warranty with service support performed by the manufacturer or an authorized service partner operating in Poland for no less than the period specified in the OPZ (minimum 36 months from signing the Final Acceptance Protocol),
2) the warranty mentioned in item 1 includes next business day service response, on-site standard, and a service allowing the damaged data drives to remain with the Ordering Party (Keep Your Drive or equivalent),
3) detailed warranty terms are set out in the draft contract provisions (§6 PPU),
4) if the standard manufacturer warranty period begins before the final acceptance date, the Contractor shall at its own cost appropriately extend or activate it so that the Ordering Party has a full 36 months warranty from the date of signing the Final Acceptance Protocol,
8. The Ordering Party requires that the subject of the contract and its implementation comply with the principle "Do No Significant Harm" (DNSH), understood as the necessity to implement the order without violating environmental objectives and minimizing negative environmental impact during the entire delivery cycle.
9. The Ordering Party disallows participation of Contractors that conduct business and have their seat or residence in third countries not part of the EU, nor signatories of the WTO GPA or other international agreements guaranteeing mutual and equal access to public procurement markets. The prohibition includes joint tenders with such Contractors, subcontracting part of the order to subcontractors from those countries, and further subcontracting.
10. The Ordering Party informs that it does not use the right under article 16b para. 2 of the Public Procurement Act to set less favorable conditions for supplies or services from third countries that are not parties to the international agreements mentioned in point 9.
11. The Ordering Party emphasizes that the right to use certificates issued pursuant to the Certification Act as provided in this Terms of Reference applies exclusively to contractors conducting business and having their seat or residence in the EU or a country party to the WTO Government Procurement Agreement or other international agreements providing reciprocal and equal access to the procurement market, of which the EU is a party.
