The subject of the contract is the service of: granting and servicing a loan in the amount of PLN 7,000,000.00 (in words: seven million zlotys and 00/100) intended to cover the deficit planned in 2019. The loan will be repaid in 2023-2030.

The Purchaser reserves the right to take out a loan in an amount less than specified in this order and to repay the loan earlier, without incurring additional costs in this respect.

The contractor will open a credit account and keep it free of charge during the contract period.

The loan period from 1.8.2019 to 31.12.2030.

The capital will be repaid in 15 (fifteen) semi-annual installments payable by the last day of the month ending the six months, with the first installment repaid on 31/12/2023 and the last installment on 31/12/2030.

Interest on the loan will be calculated on a monthly basis, calculated on the actual funds used. Placing funds at your disposal is not a basis for calculating interest.

5. The capital will be repaid in 15 (fifteen) semi-annual installments payable by the last day of the month ending the six months, with the first installment being repaid on 31/12/2023 and the last installment on 31/12/2030.

6. The loan will be used up to the amount in line with the client's needs (but no later than by 31/12/2019), in tranches according to the client's demand. The bank will place available tranches within a maximum of 4 business days from the date of notification.

7. Interest on the loan will be calculated on a monthly basis, calculated on the actual funds used. Placing funds at your disposal is not a basis for calculating interest.

8. The Contractor shall inform the contracting authority in writing about their amount at least 4 days before the interest repayment date.

9. The loan may not be charged with any other fees than those listed in the ToR.

10. In the event of repayment of the loan at an earlier date, interest will be calculated until the day of repayment of the loan, and not until the end of the contract (reservation of the possibility of early repayment without incurring costs).

11. The interest rate on the loan during the loan period will be determined on an annual basis according to a variable interest rate expressed as the WIBOR 1 M base rate, as the sum of the base rate and the margin set by the contractor. The contractor is obliged to calculate and provide in the offer the percentage rate of the loan.

12. The Contractor is required to calculate the offer as follows:

a) base rate - a fixed WIBOR 1M rate from 4.3.2019, i.e. 1.64%, should be used to calculate the price.

b) bank margin - specify the number of percentage points by which the base rate will be increased, assuming that the bank's margin will be constant throughout the loan period (given with two decimal places).

To calculate the loan costs, the amounts specified in point a, b and repayments of capital installments should be included in the manner specified in the offer form, whereby for the calculation of interest on the loan for 2019 it is conventionally assumed that the loan will be paid out on 1.8.2019.

13. The loan repayment will be secured by: a blank promissory note with a promissory note declaration. The contractor's authorization to dispose of the orderer's current account is not allowed.

Based on Article. 29 paragraph 3a of the Public Procurement Law, the Employer requires employment by the Contractor or Subcontractor on the basis of an employment contract of persons who will perform activities directly related to servicing the loan, for the entire duration of the contract concluded between the Employer and the Contractor.
