The subject of the contract is the supply of electricity with a total estimated volume of 2 500 MWh to pantograph charging stations for electric buses.
1. The subject of the contract is the supply of electricity with a total estimated volume of 2 500 MWh to pantograph charging stations for electric buses and Energy Consumption Points, hereinafter referred to as "PPE", located in the following locations:
a) Stefana Żeromskiego Street, 42-500 Będzin, plot No. 26/2,
b) Stawowa Street, 41-214 Sosnowiec, plot No. 1700,
c) Toruńska Street, precinct Trynek Gliwice, plot No. 1005,
d) Szafirowa Street, precinct Stare Gliwice, plot No. 1229/2,
e) Kolejowa Street, 43-190 Mikołów, plot No. 1546/2,
f) Pokoju Tarnowskie Góry Street - station no. 1, plot no. 4534/50,
g) Pokoju Tarnowskie Góry Street - station no. 2, plot no. 4534/50.
2. The Contracting Authority provides for the possibility of limiting the scope of the contract to 30% of the volume indicated in point 1. Thus, the Ordering Party guarantees the use of at least 750 MWh.
3. The list of PPE together with estimated data on electricity consumption, current distribution parameters and the current status of contracts is given in the statement constituting Annex 1 to the SWZ.
4. The Contractor shall make all actions and arrangements with the Distribution System Operator, hereinafter referred to as the "DSO", referred to in point 3.6 of the SWZ, necessary to carry out the procedure of changing the supplier and effectively start selling electricity, including in particular: termination of existing contracts, notification of new electricity sales agreements to the DSO. These activities will be performed by the Contractor on the basis of relevant powers of attorney granted together with the conclusion of electricity sales contracts.
5. The sale of electricity will take place under the conditions specified in the Act of 10 April 1997 - Energy Law and on the basis of executive regulations to this Act, in particular the Regulation of the Minister of Economy of 4 May 2007 on the detailed conditions for the operation of the power system, the Regulation of the Council of Ministers of 8 November 2021 on the detailed rules and procedure for introducing restrictions on the sale of solid fuels and in the supply of solid fuels and consumption of electricity or heat, Regulation of the Minister of Climate and Environment of 29 November 2022 on the detailed rules for shaping and calculating tariffs and settlements in electricity trading, the rules set out in concessions, in accordance with the provisions of the terms of the contract as well as in accordance with the Contractor's offer and in accordance with the provisions of the Civil Code.
6. Electricity distribution services will be provided on the basis of separate agreements concluded with the local Distribution System Operator, i.e. Tauron Dystrybucja S.A. with its registered office in Krakow. In order to perform the subject of the contract in the scope of each PPE, it is necessary to simultaneously apply the contracts:
a) for the provision of distribution services concluded between the Ordering Party and the DSO,
b) a general distribution agreement concluded between the Contractor and the DSO.
7. The Contractor is obliged to comply with the quality standards of customer service.
8. The Contractor is obliged to accept from the Ordering Party, within the agreed time, notifications and complaints regarding the supplied electricity.
9. The Contracting Authority requires that as at the date of submission of tenders, the Contractor has a binding agreement with the DSO, on the basis of which electricity may be sold via the distribution network of this DSO to all PPE indicated in point 1.
10. The condition for starting electricity deliveries within the indicated period is a positive implementation of the procedure of changing the seller and possession by the Ordering Party of a valid contract for the provision of electricity distribution services.
