1. The subject of the Order is to design and implement a complete Electric Energy Storage Facility (hereinafter referred to as “EES”) in a “turnkey” (EPC) formula, particularly: to execute complete and defect-free Documentation, including design documentation, obtain a Construction Permit, supply brand new, complete, defect-free, and undamaged devices constituting the EES, prepare the Construction Site, carry out installation works for the EES, perform accompanying works, launch the EES, execute any necessary modifications to existing devices and infrastructure for the launch of the EES, conduct tests for the required components of the EES (FAT/SAT), perform additional installation works, supply and install brand new, complete, defect-free, and undamaged transformer units of 400 kV/SN, integrate with TSO systems and the Ordering Party's systems, obtain Operating Permits, hand over the EES for operation, obtain Operator Permits, train the Ordering Party's operational staff, as well as to address Defects during the Warranty Period and provide service (Maintenance) services for the EES. The Contractor commits to design and implement an EES that meets the Guaranteed Technical Parameters and achieves and maintains the Guaranteed Technical Parameters, which – fulfilling the requirements specified in the Agreement, Regulations of Law in force on the date of signing the Handover Protocol for Operation – will be able to fulfill all intended functions and be covered by Maintenance, as well as to perform all other obligations of the Contractor specified in the Agreement. 2. Whenever the terms mentioned in point 1 are capitalized, their meaning has been defined in Annex No. 2 to the SWZ – Draft contractual provisions. 3. The detailed description of the subject of the Order has been described in Annex No. 1 to the SWZ – Functional and Utility Program (PFU), Annex No. 2 to the SWZ – Draft contractual provisions (PPU). 4. In all cases, wherever the Ordering Party describes the subject of the Order using standards, technical evaluations, technical specifications, and systems of technical references mentioned in Article 101 sec. 1 point 2) and sec. 3) of the Public Procurement Law, the Ordering Party allows equivalent solutions to those described – under the rules described in Article 101 sec. 4 and sec. 5 of the Public Procurement Law. 5. The Ordering Party intends to apply for: granting funds from the National Recovery and Resilience Plan (KPO); obtaining financing from capacity market revenues. The Ordering Party informs that if the public funds it intends to allocate to finance all or part of the Order, especially those from EU funds or from capacity market revenues, are not granted to it (including granted at a lower amount than requested), the Ordering Party reserves the right to annul the proceedings, based on Article 257 of the Public Procurement Law. 6. Detailed deadlines for the execution of the order have been defined in the Agreement, whereby the Guaranteed Date for Acceptance into Operation of the subject of the Agreement is set to the day occurring 33 (thirty-three) months from the Day of Entry into Force or to September 30, 2028, depending on which of these dates comes earlier.
