1. The subject of the Order is to design and implement a complete Electric Energy Storage Facility (hereinafter referred to as "EES") in a "turnkey" (EPC) format, in particular: to create complete and faultless Documentation, including project documentation, acquire a Building Permit, deliver brand new, complete, free of defects and not showing signs of damage and use devices constituting the EES, prepare the Construction Site, carry out installation works for the EES, perform ancillary works, start up the EES, make – if necessary for the start-up of the EES – modifications to existing devices and infrastructure, conduct tests for required components of the EES (FAT/SAT), perform other installation works, deliver and install brand new, complete, free of defects and not showing signs of damage and use transformer units of 400 kV/SN, integrate with the systems of the Transmission System Operator (OSP) and the ordering party's systems, obtain a Usage Permit, hand over the EES for exploitation, obtain Operator Permits, train the ordering party's operational services, as well as eliminate defects during the Warranty Period and provide service (Service) for the EES. The Contractor commits to design and implement the EES with Guaranteed Technical Parameters that meets the requirements specified in the Agreement, and the Legal Provisions applicable on the date of signing the Acceptance Protocol for Exploitation – which will be capable of fulfilling all intended functions and cover the EES with Service, as well as fulfill all other obligations of the Contractor specified in the Agreement. 2. Whenever the terms mentioned in point 1 are written with a capital letter, their meaning is defined in Attachment No. 2 to the SWZ – Draft provisions of the agreement. 3. A detailed description of the subject of the Order is described in Attachment No. 1 to the SWZ – Functional and Utility Programme (PFU), Attachment No. 2 to the SWZ – Draft provisions of the agreement (PPU). 4. In all cases where the Ordering Party describes the subject of the Order using standards, technical evaluations, technical specifications, and methods of technical reference referred to in Article 101, paragraph 1, point 2) and paragraph 3) of the Public Procurement Law (Ustawa PZP), the Ordering Party allows for equivalent solutions described - according to the principles laid out in Article 101, paragraphs 4 and 5 of the Public Procurement Law. 5. The Ordering Party intends to apply for: the allocation of funds from the Modernization Fund. The role of the National Operator of the Modernization Fund is performed by the National Fund for Environmental Protection and Water Management (NFOŚiGW); obtaining funding from revenues of the capacity market. The Ordering Party informs that if public funds intended for financing all or part of the Order, especially those coming from EU funds or revenues from the capacity market, are not granted to it (including those granted in an amount lower than requested), the Ordering Party reserves the right to cancel the Procedure, based on Article 257 of the Ustawa PZP. 6. The detailed deadlines for the completion of the order have been specified in the Agreement, with the Guaranteed Date for Handing Over the Subject of the Agreement for Exploitation set for a date falling 33 (thirty-three) months from the Entry into Force or on September 30, 2028, depending on which of these dates occurs earlier.

The Contractor commits to design and implement the EES with Guaranteed Technical Parameters and fulfilling and meeting the Guaranteed Technical Parameters, which – meeting the requirements specified in the Agreement, the Legal Provisions applicable on the date of signing the Acceptance Protocol for Exploitation – will be capable of fulfilling all intended functions and cover the EES with service, as well as fulfill all other obligations of the Contractor specified in the Agreement. 2.
