1. The subject of the contract is the granting of a long-term loan in the amount of: PLN 3,100,000.00 (three million one hundred thousand zlotys) to cover the planned budget deficit of the Municipality of Zbąszynek in 2023 and repayment of liabilities due to previously incurred loans and credits.

1) In 2023, the Contractor shall grant the Contracting Authority a loan in the Polish currency in the amount of PLN 3,100,000.00 (in words: three million one hundred thousand zlotys) under the conditions specified in the SWZ. 2) The contracting authority will allocate funds from the loan to finance the budget deficit of the Municipality of Zbąszynek for 2023 and repayment of liabilities due to previously incurred loans and credits. 3) Loan period: from the date of conclusion of the contract until 31.12.2034. 4) The loan will be launched from the date of signing the contract according to payment orders as soon as payment needs arise from 04.09.2023. 5) Tranches of the loan will be transferred to the account of the Ordering Party within 2 days from the date of submission of the request. The Contracting Authority accepts the templates of instructions in force at the Contractor. 6) Grace period for repayment of capital until 31.12.2024. 7) The date of commencement of repayment of loan principal installments after the grace period (the first payment date of the principal installment should fall on 31/01/2025). 8) Repayment of capital will be made in 120 monthly installments payable on the last day of each month: - capital installments from 1 to 119 in the amount of PLN 25,833.00, last, 120 installments in the amount of PLN 25,873.00. 9) The repayment of capital will take place in the periods set out in the schedule, on the basis of a notification delivered by the Bank to the Ordering Party min. 7 working days before the due date. 10) Interest payable on a monthly basis – on the last day of each month. 11) The form of loan security is a blank promissory note together with a promissory note declaration. 12) The Contractor will not charge any additional commissions and fees related to the servicing of the loan. 4. Cost of credit. 1) the interest due shall be calculated for each day of using the credit, counting from the date of the first activation; 2) The Ordering Party will pay interest only on the loan launched; 3) interest on the used loan will be payable on the basis of a notice delivered no later than 7 business days before the due date, the last installment of interest is payable on the repayment date of the last installment of the loan; (4) the date on which the amount due is credited to the credit account shall be deemed to be the payment of interest, whereby, if the due date falls on a recognised public holiday, the interest shall be paid on the first working day following the public holiday. 5) interest rate on the loan calculated according to the variable WIBOR rate for 3-month deposits, applicable on each first day of the interest period (month) increased (+) / reduced (-) by the bank's fixed margin expressed in percentage points. Base rate set for a period of 1 month in the amount of WIBOR 3M rate from the 1st day of the month (if there are no quotations on this day, then from the next day on which the quotation was and applicable from the 1st calendar day of the next month).
