The subject of the contract is to take out a long-term loan in the amount of PLN 4,393,080 (four million three hundred ninety-three thousand eighty zlotys) in Polish currency, intended to finance the planned deficit of a local government unit.

The loan agreement will be drawn up by the Contractor, whose offer will be considered the most advantageous, at his expense in accordance with the provisions of the PPL Act and all reservations contained in the Terms of Reference – (the model contract should be attached to the offer).

The loan will be paid in two tranches, the first tranche in the amount of PLN 2,393,080.00 until 30.11.2022, the second tranche in the amount of PLN 2,000,000.00 until 15.12.2022 at the written request of the Ordering Party. The Ordering Party reserves the right to pay the tranches at a later date.

3. The loan will be paid in two tranches, the first tranche in the amount of PLN 2,393,080.00 until 30.11.2022, the second tranche in the amount of PLN 2,000,000.00 by 15.12.2022 at the written request of the Ordering Party. The Ordering Party reserves the right to pay the tranches at a later date.

4. The credit will be transferred to the account indicated by the Ordering Party.

5. The loan will be repaid in equal 120 monthly installments in the amount of PLN 36,609.00 each, payable by the 20th day of each month, i.e. the first installment to

20.01.2023 and the last 120 installments until 20.12.2032

6. The loan will be secured by a blank promissory note together with a promissory note declaration (countersignature of the treasurer on the promissory note declaration)

7. Interest payment date: interest payments will take place on a monthly basis until the 20th of each month.

8. Interest on the loan will be charged only on the amount of the current, actual debt on the credit account.

9. For the purpose of calculating the interest rate, the year shall be deemed to be 365 days and the month the actual number of days.

10. The loan will bear interest at the interest rate constituting the sum of the Base Rate and the Bank's margin, determined for 3-month periods using the following rule:

The base rate is the WIBOR 3M rate, calculated as the arithmetic mean of the month preceding its period of validity.

The bank's margin is constant throughout the loan period.

11.In the event that the final date for repayment of interest or capital installments is a public holiday or non-working day, payment will be made on the last business day before that day.

12. The Ordering Party reserves the right to use a smaller amount of the loan and early repayment without incurring any costs. In the case of early repayment of the loan, interest will be calculated for the period of its actual use.

13. The Ordering Party reserves the right to change the loan repayment schedule without additional fees.

14. The Ordering Party does not provide for any fees and commissions related to the granting, servicing and repayment of the loan (including early repayment).
