The subject of the contract is to grant a long-term loan in the amount of PLN 20,074,227.94 (say: twenty million seventy-four thousand two hundred twenty-seven zlotys 94/100) to cover the planned budget deficit of the Przeworsk District.

1. The subject of the contract is to grant a long-term loan in the amount of PLN 20,074,227.94 (say: twenty million seventy-four thousand two hundred twenty-seven zlotys 94/100) to cover the planned budget deficit of the Przeworsk District.

2. Detailed description of the terms of the provision of credit:

1) The amount of the loan is PLN 20,074,227.94 (say: twenty million seventy-four thousand two hundred twenty-seven zlotys 94/100).

2) Loan currency: loan granted in PLN (PLN).

3) The Contracting Authority reserves the right to use the loan in tranches depending on the needs.

4) Grace period in repayment of the principal until 31.12.2023

5) There is no grace period for the payment of interest.

6) It is possible not to use the full amount of the credit without incurring any fees.

7) The bank will be informed about the date of disbursement and the amount of each tranche at least 3 business days before the disbursement of the loan tranche.

8) The interest rate on the loan will be calculated at a variable rate on an annual basis based on the WIBOR 1M rate plus the bank's margin.

9) The margin presented in the offer may not be increased during the term of the credit agreement.

10) The loan will be secured by a blank promissory note together with a promissory note declaration.

11) Interest payments will be made on a monthly basis in amounts resulting from the current debt on the first day of each month.

12) Interest will be calculated on the amount of the loan used.

13) Repayment of loan instalments in the years 2024 – 2033 will be made in monthly instalments

starting from 31.01.2024. for a period of 120 months, i.e. until 30.12.2033.

14) Repayment of principal in 2024-2033, as follows:

a) in the years 2024-2032 – annually PLN 2,007,422.79

b) in 2033 – PLN 2,007,422.83

15) Payable on the last day of each month with interest.

16) If the loan repayment date falls on a non-working day, the Ordering Party shall pay the required instalment on the first business day following the scheduled repayment date. This rule does not apply to the last instalment, the instalment date of which cannot be postponed.

17) Any commission on the granted loan will be payable once on the day of loan disbursement.

18) The loan may not be charged with fees and commissions other than those listed in the offer submitted by the bank.

19) If the loan is repaid earlier – interest will be calculated until the loan repayment date, assuming that the year is 365 days long.

(20) For the purpose of calculating the credit price, the actual number of days in a given month shall be assumed.

21) The Contracting Authority reserves the right to:

(1) failure to use the full amount of the loan granted; The Ordering Party reserves the right to reduce the loan amount by no more than 10% without the consequences of any commissions and fees

2) renegotiation of amounts and time limits for principal repayments.

22) The loan will be disbursed after the legal forms of collateral for the loan are established.

3. Documents for creditworthiness examination are included in Appendix 1 to the Terms of Reference.

Planned date of disbursement of the loan – no later than 30.11.2023,

Loan repayment date – from 31.01.2024. until 30.12.2033

5. In order to make the price of the offers comparable, each Contractor submitting an offer in the procedure should use the interest rate on the loan at the variable WIBOR 1M rate to calculate the price of the offer – according to the quotations as of 12.10.2023. of 5.90%.

6. To calculate the offer price, the date of disbursement and use of the credit in the full amount as at 30.11.2023 should be used.
