Description:
The order involves the delivery and sale of electricity for various facilities in specified distribution areas, starting from January 1, 2026, and is divided into four parts, allowing contractors to submit offers for any part.

1. The subject of the order is the delivery of electricity, including the sale of electricity for the points of energy intake indicated in annexes no. 4.1a, 4.1b, 4.1c, 4.1d to the SWZ for a period of twelve months starting from 01.01.2026.
2. The order must be carried out in accordance with the requirements contained in this Specification of Contract Terms, Detailed Description of the Subject of the Order along with an example of filling in the data in the contract and on the invoice, which is an annex no. 1 to the SWZ, and the draft provisions of the contract that make up annexes no. 2a, 2b, 2c, 2d to the SWZ, as well as in the lists of points of energy intake, which constitute annexes no. 4.1a, 4.1b, 4.1c, 4.1d to the SWZ.
3. The planned delivery period is 12 months, with the start of deliveries not taking place earlier than from the date of 01.01.2026. Therefore, the expected delivery time is from 01.01.2026 to 31.12.2026.
4. The delivery of electricity to particular PPE will take place after effectively terminating the existing electricity supply contracts and successfully conducting the supplier switch procedure.
5. The Ordering Party does not require the Contractor to submit the relevant means of proof.
6. The Ordering Party does not require the payment of a deposit.
7. The Ordering Party has divided the order into the following parts:
• Part 1 - Purchase of electricity for facilities located in the distribution area of ENERGA Operator SA.
• Part 2 - Purchase of electricity for facilities with production installations settled on a net billing basis located in the distribution area of ENERGA Operator SA.
• Part 3 - Comprehensive electricity supply, including the sale of electricity and the provision of electricity distribution services in the distribution area of ENERGA Operator SA.
• Part 4 - Purchase of electricity for facilities located in the distribution area of ENEA Operator Sp. z o.o.
Proceedings are conducted in an open tender procedure based on art. 132 of the Public Procurement Law. According to art. 38 of the Public Procurement Law, the Ordering Party Pomorskie Voivodeship acts on its own behalf and on behalf of the purchasing group as part of the agreement made, based on the granted authorizations to conduct this public procurement procedure. 4. Each Ordering Party (being in the purchasing group) upon selecting the most advantageous offer is obliged to conclude a contract with the entity chosen in this procedure.
8. The order has been divided into four parts; the Contractor may submit an offer for any part/parts of the order.
Offers must be submitted electronically, signed with a qualified electronic signature, in commonly available data formats, specifically in formats: .txt, .rtf, .pdf, .doc, .docx, .odt. Offers must be prepared in Polish. It is recommended to use the Offer Form, which constitutes annex no. 4 to the SWZ. If the Contractor does not use the template provided by the Ordering Party for the Offer Form, the offer should include all essential information required in those templates. Along with the offer, the following must be submitted: 2. A declaration of not being subject to exclusion and meeting the participation requirements in the procedure - JEDZ (Annex no. 5 to the SWZ) - on the principles specified in Chapter IX of the SWZ. 3. Authorization - in cases specified in Chapter IX of the SWZ. 4. Declaration of contractors jointly applying for the award of the contract (the template is annex no. 8 to the SWZ) - in cases specified in Chapter IX of the SWZ. 5. Reservation of business secrecy - in cases specified in Chapter IX of the SWZ. 6. A declaration that there are no circumstances regarding the Contractor mentioned in art. 5k of the EU Council Regulation 833/2014, as amended by EU Council Regulation 2022/576 (the template of the declaration is annex no. 9 to the SWZ).
The estimated value of the subject of the contract: 23,054,370.40 PLN net.
In matters not regulated by this SWZ, the provisions of the Public Procurement Law and the Regulation of the Prime Minister of December 30, 2020, on the methods of preparing and transferring information and the technical requirements for electronic documents and electronic communication means in public procurement or competition procedures shall apply.
The Contractor has the right to submit only one offer for each part. Offers from a contractor who submits more than one offer (for a given part) will be rejected.
Communication between the Ordering Party and Contractors, including all statements, requests, notifications, and information, should be transmitted via the Purchasing Platform using the form “Send message to the contracting authority”. Detailed information on electronic communication means and information on technical and organizational requirements for preparing, sending, and receiving electronic correspondence are included in Chapter XII of the SWZ.


LOT-0001
Part 1.
• Part 1 - Purchase of electricity for facilities located in the distribution area of ENERGA Operator SA.
1. The subject of the order is the delivery of electricity, including the sale of electricity for the points of energy intake indicated in annex no. 4.1a to the SWZ for a period of twelve months starting from 01.01.2026.
2. The delivery of electricity will occur under the conditions specified by the provisions of the Act of April 10, 1997 - Energy Law and according to the implementing provisions issued for this Act, in particular with quality service standards for customers set forth in the Regulation of the Minister of Climate and Environment of November 29, 2022, on how to shape and calculate rates and how to settle accounts in the trading of electricity.
3. The subject of the order has established quality standards. The quality parameters of electricity in the distribution part are regulated by the Regulation of the Minister of Climate and Environment of March 22, 2023, on the detailed conditions for the functioning of the electricity system.
4. The order must be carried out in accordance with the requirements contained in this Specification of Contract Terms, Detailed Description of the Subject of the Order along with an example of filling in the data in the contract and on the invoice, which is annex no. 1 to the SWZ, and the draft provisions of the contract that make up annexes no. 2a to the SWZ, as well as in the lists of points of energy intake, which constitute annexes no. 4.1a to the SWZ.
5. The applicable law for this order (including the contract concluded as a result of this procedure and for assessing the legal effects of all documents in this order) is Polish law with consideration of European Union law.
6. The Ordering Party does not reserve the possibility of applying for the order exclusively by Contractors referred to in art. 94 of the Public Procurement Law.
7. The Ordering Party does not allow the submission of variant offers as referred to in art. 92 of the Public Procurement Law, i.e., offers proposing a different method of execution of the order than specified in this SWZ.
8. A Contractor citing equivalent solutions is obliged to demonstrate that the solution offered by them meets the requirements specified by the Ordering Party. In such a case, the Contractor attaches a list of equivalent solutions along with their description or standards.
9. The Ordering Party does not foresee the conclusion of a framework agreement or the establishment of a dynamic purchasing system and does not foresee the selection of the most advantageous offer using electronic auctions.
10. The Ordering Party does not foresee the awarding of contracts based on art. 214 sec. 1 point 8 of the Public Procurement Law.
11. The Ordering Party does not allow the submission of offers in the form of electronic catalogs, nor the attachment of electronic catalogs to the offer, in situations specified in art. 93 of the Public Procurement Law.
12. The Ordering Party does not foresee settlements in foreign currencies. The settlement of the order is conducted in PLN.
13. Subcontracting:
1) The Contractor may assign part of the order to a subcontractor(s); regarding the execution of the order, the Ordering Party does not reserve the obligation to personally perform key tasks of the order,
2) The Ordering Party requires that in the event of assigning part of the order to subcontractors, the Contractor indicates in the offer the parts of the order that they intend to assign to subcontractors and provides (if already known) the names of those subcontractors; assigning part of the order to subcontractors does not relieve the Contractor from liability for the proper execution of the order,
3) The Contractor may change subcontractors during the term of the contract within the scope indicated in the offer- such a change cannot affect the execution of the contract,
4) if the change or resignation from a subcontractor concerns an entity whose resources the Contractor relied on according to art. 118 sec. 1 of the Public Procurement Law to demonstrate the fulfillment of the participation conditions in the procedure, the Contractor is obliged to demonstrate to the Ordering Party that the proposed other subcontractor or the Contractor independently meets them to no lesser extent than the subcontractor on whose resources they relied during the procurement procedure,
5) in case of non-payment to subcontractors, the Ordering Party reserves the right to withhold payment to the Contractor until they settle their financial obligations.
14. The Ordering Party does not foresee the return of costs of participating in the proceedings.
15. The Ordering Party does not foresee the award of advance payments for the performance of the order.
16. The Ordering Party does not foresee the obligation for the Contractor to carry out a site visit and to verify the documents necessary for the execution of the order available on site at the Ordering Party.


LOT-0002
Part 2.
• Part 2 – Purchase of electricity for facilities with a generating installation settled on the basis of net billing located in the distribution area of ENERGA Operator SA.
1. The subject of the order is the supply of electricity, including the sale of electricity for the electricity consumption points specified in Annex 4.1b to the SWZ for a period of twelve months starting from January 1, 2026.
2. The supply of electricity will take place on the terms specified by the provisions of the Act of April 10, 1997 – Energy Law and in accordance with the executive regulations issued to this Act, in particular with the quality service standards for consumers specified in the Regulation of the Minister of Climate and Environment of November 29, 2022, on the method of shaping and calculating tariffs and the method of settlement in electricity trading.
3. The subject of the order has established quality standards. The quality parameters of electricity in the distribution part are regulated by the Regulation of the Minister of Climate and Environment of March 22, 2023, on detailed conditions for the functioning of the electricity system.
4. The order must be executed in accordance with the requirements contained in this Specification of Contract Terms, Detailed Description of the Subject of the Order along with an example of data filling in the contract and invoice constituting Annex 1 to the SWZ, as well as the draft provisions of the contract constituting Annexes 2b to the SWZ, and in the lists of electricity consumption points that constitute Annex 4.1b to the SWZ.
5. The law applicable to this order (including the contract concluded as a result of this procedure and the assessment of the legal effects of all documents in this order) is Polish law, taking into account European Union law.
6. The contracting authority does not reserve the possibility of applying for the order solely by Contractors referred to in Article 94 of the Pzp Act.
7. The contracting authority does not allow for the submission of variant offers, as referred to in Article 92 of the Pzp Act, i.e., offers providing for a different method of executing the order than specified in this SWZ.
8. A contractor who refers to equivalent solutions is obliged to demonstrate that the solution offered by them meets the requirements set by the contracting authority. In such a case, the contractor attaches to the offer a list of equivalent solutions along with their description or standards.
9. The contracting authority does not foresee the conclusion of a framework agreement or the establishment of a dynamic purchasing system, nor does it foresee the selection of the most advantageous offer using an electronic auction.
10. The contracting authority does not foresee the granting of orders based on Article 214(1)(8) of the Pzp Act.
11. The contracting authority does not allow submission of offers in the form of electronic catalogs nor attaching electronic catalogs to the offer, in the situation specified in Article 93 of the Pzp Act.
12. The contracting authority does not foresee settlements in foreign currencies. The settlement of the order takes place in PLN.
13. Subcontracting:
1) The contractor may delegate part of the order to a subcontractor(s); in connection with the execution of the order, the contracting authority does not reserve the obligation to personally perform key tasks of the order,
2) The contracting authority requires that in the case of delegating part of the order to subcontractors, the contractor indicates in the offer the parts of the order whose execution they intend to delegate to subcontractors and provides (if already known) the names of those subcontractors; the delegation of part of the order to subcontractors does not relieve the contractor of responsibility for the proper execution of the order,
3) The contractor may change subcontractors during the contract in the scope indicated in the offer; such a change may not affect the execution of the contract,
4) if the change or resignation from a subcontractor concerns an entity whose resources the contractor invoked in accordance with Article 118(1) of the Pzp Act to demonstrate meeting the conditions for participation in the procedure, the contractor is obliged to demonstrate to the contracting authority that the proposed other subcontractor or the contractor themselves meets them to no lesser extent than the subcontractor whose resources they invoked during the proceedings for granting the order,
5) in the event of a failure to pay subcontractors, the contracting authority reserves the right to withhold payment to the contractor until they meet their financial obligations.
14. The contracting authority does not foresee reimbursement of costs of participation in the procedure.
15. The contracting authority does not foresee the granting of advances for the execution of the order.
16. The contracting authority does not foresee the obligation for the contractor to make a site visit and check documents necessary for the performance of the order available on-site at the contracting authority.


LOT-0003
Part 3.
• Part 3 – Comprehensive supply of electricity, including the sale of electricity and the provision of electricity distribution services in the distribution area of ENERGA Operator SA.
1. The subject of the order is the supply of electricity, including the sale of electricity for the electricity consumption points specified in Annex 4.1c to the SWZ for a period of twelve months starting from January 1, 2026.
2. The supply of electricity will take place on the terms specified by the provisions of the Act of April 10, 1997 – Energy Law and in accordance with the executive regulations issued to this Act, in particular with the quality service standards for consumers specified in the Regulation of the Minister of Climate and Environment of November 29, 2022, on the method of shaping and calculating tariffs and the method of settlement in electricity trading.

1. The subject of the order is the delivery of electricity, including the sale of electricity for the energy consumption points specified in Appendix No. 4.1d to the SWZ for a period of twelve months starting from January 1, 2026.
2. The delivery of electricity will take place under the terms specified in the provisions of the Act of April 10, 1997 – Energy Law and in accordance with the executive regulations issued under this Act, in particular with the quality service standards for customers specified in the Regulation of the Minister of Climate and Environment of November 29, 2022, regarding the method of shaping and calculating rates and the method of settlements in electricity trading.
3. The subject of the order has established quality standards. The quality parameters of electricity in the distribution part are regulated by the Regulation of the Minister of Climate and Environment of March 22, 2023, regarding the detailed conditions for the operation of the electricity system.
4. The order must be carried out in accordance with the requirements contained in this Specification of Procurement Conditions, Detailed Description of the Subject of the Order along with an example of filling in the data in the contract and on the invoice, which is Appendix No. 1 to the SWZ, as well as the proposed contract provisions that constitute Appendices No. 2d to the SWZ, as well as in the lists of energy consumption points, which constitute Appendices No. 4.1d to the SWZ.
5. The law applicable to this order (including the contract concluded as a result of this procedure and for the assessment of the legal effects of all documents related to this order) is Polish law, taking into account the law of the European Union.
6. The contracting authority does not reserve the right to apply for the order exclusively for Contractors referred to in Article 94 of the Pzp Act.
7. The contracting authority does not allow for the submission of variant offers, as referred to in Article 92 of the Pzp Act, i.e., offers providing a different way of executing the order than specified in this SWZ.

2) The Contracting Authority requires that in the event of entrusting part of the order to subcontractors, the Contractor indicates in the offer the parts of the order that they intend to entrust to subcontractors and provides (if already known) the names of these subcontractors; entrusting the execution of part of the order to subcontractors does not relieve the Contractor of responsibility for due execution of the order,
3) The Contractor may change subcontractors during the term of the contract within the scope indicated in the offer - such a change may not affect the execution of the contract,
4) if the change or resignation from a subcontractor concerns an entity whose resources the Contractor relied on in accordance with Article 118, paragraph 1 of the Pzp Act to demonstrate meeting the participation conditions in the proceedings, the Contractor is obliged to prove to the Contracting Authority that the proposed other subcontractor or the Contractor independently meets them to a degree not less than the subcontractor whose resources were relied upon during the procurement procedure,
5) in case of non-payment to Subcontractors, the Contracting Authority reserves the right to withhold payment to the Contractor until their financial obligations are settled.
14. The Contracting Authority does not provide for reimbursement of costs associated with participation in the procedure.
15. The Contracting Authority does not foresee the granting of advance payments for the execution of the order.
16. The Contracting Authority does not foresee the obligation for the Contractor to conduct a site visit and to verify the documents necessary for the execution of the order available on-site with the Contracting Authority.
