The subject of the contract is the design, supply, installation, and commissioning of: a) 137 photovoltaic installations, b) 127 electric energy storage systems, c) 81 air heat pump installations for heating and hot water needs, d) 24 ground heat pump installations for heating and hot water needs, e) 210 thermal energy storage systems linked to heat pumps, collectively referred to as "Installations". The supply, installation, and commissioning of the Installations shall serve the purpose of producing and storing energy from renewable sources for facilities located on properties within the area of the Zagórów Municipality, specified in Attachment 1a to the Terms of Reference (SWZ), updating the table informing about the participants of the Project, presented on pages 2-18 of the Functional and Utility Program (hereinafter referred to as "PFU"), which constitutes Attachment No. 1 to the SWZ. Due to the resignation of some Project participants, the Ordering Party in Attachment 1a provided information updating the data on installations to be executed as part of the Project for the Users. 2) The Ordering Party indicates that based on contracts concluded with Users, it has obtained their consent to carry out activities related to the design, supply, installation, and commissioning of installations necessary to achieve the objectives of the Project. 3) Right of option: The Ordering Party reserves for itself the right to extend the scope of the Order to include additional supplies related to the current needs of the Ordering Party (hereinafter referred to as the "Right of Option") under the following principles: increasing the scope of the subject of the order by increasing the number of Installations referred to in point 1, which are to be supplied, installed, and commissioned by the Contractor. The Right of Option will be implemented with the following principles: a) The Ordering Party will decide on the application of the Right of Option within 14 days from the date of conclusion of the Agreement with the Contractor - based on the evaluation of applications from potential Users, other than those indicated in the list specified in Attachment No. 1a to the SWZ. b) The maximum value of the option shall not exceed 15% of the value of the order resulting from the offer submitted by the Contractor. c) The value of the remuneration due to the Contractor based on the Right of Option will be determined based on the estimated value of delivery, installation, and commissioning of Installations: photovoltaic systems, electric energy storage systems, air heat pumps for heating and hot water needs, and ground heat pumps for heating and hot water needs indicated by the Contractor in the Offer form. d) The Right of Option is a right of the Ordering Party, which it may, but does not have to, exercise in the implementation of the Agreement. Under the Right of Option, the Ordering Party reserves the right to fully or partially delegate the execution of the subject of the order covered by the right of option. e) If the Ordering Party does not exercise the Right of Option in part or in full, the Contractor shall have no claims in this regard. f) A condition for exercising the Right of Option is the submission of a declaration of intent by the Ordering Party in written or electronic form (within the meaning of Article 78(1) of the Civil Code) regarding the exercise of the Right of Option. g) The rules for exercising the Right of Option are specified in the template of the Agreement (Attachment No. 2 to the SWZ). 12) The scope of the subject of the order includes: a) the preparation of complete project documentation necessary for the supply, installation, and commissioning of installations specified in point 1. b) obtaining the required agreements, permits, notifications, necessary to execute the subject of the order and achieve its goal according to applicable legal regulations; c) performing installation according to the prepared project documentation for the Installations specified in point 1, corresponding to the conditions specified in the PFU, including in particular the implementation of installation and construction activities described in point 6 of the PFU ("Description of the Ordering Party's requirements regarding the subject of the order"); d) The execution of controls, tests, measurements, technical start-up, and commissioning of the Installations, in accordance with applicable legal regulations and technical standards in this area; e) the preparation of operating instructions for the Installations for the purpose of handing it over to the Ordering Party and each User; f) training Users in the operation of the installation mounted on the given property; g) the preparation of the as-built documentation necessary for reporting the acceptance to the Ordering Party and for the proper use of the Installations. The Contractor is obliged to implement an IT system for the delivered Installations that generate and store electric energy. The IT system must meet the following requirements: Functional scope: The system must provide for the collection, archiving, processing, and presentation of data on the operation of all renewable energy installations covered by the project, including at least: • current energy production, • energy consumption, • status of energy storage systems, • device operation history, • alarms and service events, • calculations of CO₂ emissions reductions. • The system must enable reporting on the performance indicators covered by the funding agreement concluded by the Ordering Party with the Greater Poland Voivodeship ("Estimated greenhouse gas emissions", "Amount of electric energy generated from renewable sources", "Amount of thermal energy generated from renewable sources") and their export in XLSX and CSV formats. 16) A detailed description of the subject of the order is determined by the PFU, which constitutes Annex No. 1 and 1a to the SWZ, as well as the Projected provisions of the Agreement - Annex No. 2 to the SWZ. The Contractor is obliged, while executing the order, to consider the minimum requirements ensuring accessibility for people with special needs specified in Article 6 of the Act of July 19, 2019, on ensuring accessibility for people with special needs (Journal of Laws of 2024, item 1411). The Contractor is to perform design and installation work for the Installations taking into account the provisions of Article 100, paragraph 1 of the Public Procurement Law.
