1. The subject of the contract is the design and creation of an IT platform enabling cooperation and resource management.

2. The subject of the contract is divided into basic scope and optional scope. The basic scope is implemented by all contracting entities. The optional scope is differentiated both in terms of subject and object.

3. The contract in question will be awarded and implemented by 3 entities, pursuant to the provisions of art. 16 clause 1 of the PPL Act. The Employer authorized to conduct the procedure, award the contract on behalf of and for the benefit of the Employers is: Pomeranian Science and Technology Park Gdynia, budget unit of the Gdynia commune, 81-451 Gdynia, al. Zwycięstwa 96/98, POLAND, represented by the director of the Pomeranian Science and Technology Park Gdynia.

1. The subject of the contract is the design and creation of an IT platform (hereinafter PI) enabling cooperation and resource management.

2. The contractor is obliged in particular:

- perform a pre-implementation analysis, which is the basis for designing PI (including connections between individual modules and the detailed scope of presented data);

- make a PI project;

- present several layout mockups for backoffice and cms as well as front mockups - an external PI view (not less than 5), in accordance with the UX method for acceptance and then (after making a selection) for consultation of the Employer (hereinafter Order);

- design and manufacture PI in accordance with the requirements of the Order contained in the tender documentation and current arrangements with the Order;

- integrate with the PROGMAN system used by PPNT Gdynia;

- integrate with the PPNT Gdynia booking system;

- issue an API;

- transfer full copyrights to the designed, constructed and transferred PI;

- provide a 24-month warranty for the completed PI on the terms set out in detail in the tender documentation, the longer warranty period will be additionally scored as part of the bid evaluation criterion;

- provide technical assistance in the form of development hours (the number of hours under the basic contract and the Option right has been detailed in the tender documentation);

- conduct training for representatives of Zam;

- hand over to complete documentation along with access codes and other data enabling independent PI configuration.

3. The subject of the order is divided into basic scope and optional scope (2 options).

4. The basic scope consists of:

4a) common functionality (common part) for all 3 Orders (PPNT Gdynia, PSSE Sp. Z oo and the Economic Foundation), which consists of modules: cooperation, users, RODO consents, my profile, services, events, survey forms, the basic version of the statistical analysis module functionality enabling the analysis of surveys and guest forms;

4b) expanding functionality (required only by PPNT Gdynia and the Economic Foundation), which consists of the following modules: infrastructure and access card management, conference rooms, contracts, de minimis assistance, settlements, contractors, helpdesk, resource search engines, contractor's newsletter;

4c) 200 development hours (100 hours for PPNT Gdynia, 50 hours for the Economic Foundation and 50 hours for PSSE Sp. Z o. O.).

5. The offer price for the common part (joint functionality) may not be higher than 35% of the offer price for the basic scope. An offer in which the price for the common part will be higher than 35% of the offer price for the basic scope will be considered incompatible with the ToR and will be subject to rejection.

6. In connection with the implementation of the contract, the Contractor with whom the contract will be signed will be required to provide, no later than within 3 days from the date of signing the contract, a copy of the concluded civil liability insurance contract or a copy of the insurance policy regarding the provision of services in the field of business related to the subject of the contract, for an amount of at least PLN 1,300,000.00 and maintaining insurance for the duration of the contract.

7. The contractor, before signing the contract, is required to provide a security on due performance of the contract in the amount of 10% of the total (gross) price specified in the offer for the basic scope.
