1. The subject of the contract is the supply of electricity to the facilities listed in Annex 1 to the ToR:
1.1. The estimated basic demand for electricity during the contract period is 4 128 595 kWh, while the estimated basic demand with option rights is 4 747 884 kWh.
1.2. Performing activities resulting from the power of attorney constituting Annex 2 to the Agreement.
2. The detailed scope of the contract is specified in Annex 1 to the ToR, in accordance with the provisions of the Energy Law of 10 April 1997 (i.e. Journal of Laws 2019.755, as amended). Other conditions regarding the performance of the contract are set out in the draft contract for the sale / purchase of electricity - Annex 2 to the ToR.
3. The supply of electricity will take place under the conditions set out in the Act of 10 April 1997 - Energy Law (i.e. Journal of Laws 2019.755 as amended) and in accordance with the implementing regulations issued to that Act, in particular with the standards of customer service quality specified in the Regulation of the Minister of Energy of March 6, 2019 on detailed rules for the setting and calculation of tariffs and settlements in electricity trading (Journal of Laws 2019.503).
4. Distribution services will be provided on the basis of a separate agreement concluded by the Employer with the relevant Distribution System Operator.
5. Requirements for the Contractor:
The Employer shall grant the power of attorney selected in the proceedings to:
5.1. Notifications to the relevant Distribution System Operator about the conclusion of the contract for the sale of electricity and the planned date for the start of sale of electricity.
5.2. Submission of a notice of termination of the comprehensive contract (sale of electricity and provision of distribution services), sales contract, distribution contract or declaration of termination of the comprehensive contract (sale of electricity and provision of distribution services), sale contract, distribution contract in accordance with a mutual agreement of the parties for electricity consumption points included in Annex 1 to the Agreement, in accordance with the schedule for terminating the agreements contained in Annex 1 to the Agreement.
5.3. Obtaining, if necessary, information from the current seller about the number, date of conclusion, validity and notice period of the current sales contract for the sale of electricity and provision of distribution services or the contract for the sale of electricity
5.4. Representing the Employer before the relevant Distribution System Operator during the process of concluding Distribution Agreements, including signing and submitting on behalf of the Customer an application for concluding UD.
5.5. Representing the Employer before the Distribution Network Operator in matters related to the conclusion of a contract for the provision of distribution services for a new connection (no existing contract), including the signing and submission of an application on behalf of the Customer for connecting the receiving installation to the network.
5.6. Applying to the DSO with a request to change the payer, PPE address data, Payer address data, tariff group for electricity consumption points specified in Annex 1 to the Agreement during the performance of the contract at the prior request of the Employer.
5.7. Representing the Employer in contacts with the current Electricity Seller or Distribution System Operator in matters related to the process of changing the Seller applies to the points set out in Annex 1 to the Agreement.
6. The current contracts for the sale of electricity with current sellers of electricity for electricity consumption points included in Annex 1 to the ToR are mostly concluded for a limited period until 31.12.2019, and a detailed description for each of the PPE points is in the column " The duration of the current sales contract. "
7. In Annex 1 to the ToR, parameters (tariff group) are given for information, which may differ from those currently in force or may be subject to change during the duration of the contract for the sale of electricity.
9. Electricity should meet the technical parameters in accordance with the provisions of the Energy Law of 10 April 1997 - Energy Law (i.e. Journal of Laws 2019.755 as amended) and implementing regulations to this Act.
