The subject of the contract is the supply of electricity for a period of 12 months, i.e. from 01.01.2023 to 31.12.2023. in the total estimated quantity: 8 434 327 kWh (basic order) to facilities belonging to the Ordering Party. The order was divided into two parts: Part I – Comprehensive supply of electricity for a period of 12 months to the facilities of Miejskie Wodociągy i Oczyszczalni sp. z o.o. with its registered office in Grudziądz Part II – Sale of electricity for a period of 12 months to the Waste Management Plant in Zakurzewo near Grudziądz and the Sewage Treatment Plant in Nowa Wieś near Grudziądz

The subject of the contract is a comprehensive supply of electricity, including the sale of electricity and the provision of electricity distribution services for a period of 12 months, i.e. from 01.01.2023 to 31.12.2023 in an estimated amount: 4169236kWh (basic order) to facilities belonging to the Ordering Party.A detailed description of the subject of the contract is specified in Annex No. 1A – Detailed description of the subject of the contract – Part I to SWZ.a)The above-mentioned amount of planned energy consumption electricity, i.e. 4169236kWh is an estimate and therefore may be reduced, with the proviso that the Ordering Party guarantees the purchase of at least 90% of the total amount of the basic volume. Due to the Failure of the Ordering Party to realize the estimated amount of electricity in full, subject to the guaranteed quantity, the Contractor will not be entitled to compensation claims.b) The Contracting Authority provides for the possibility of exercising the option right specified in Article 441 of the Act of 11 September 2019. Pzp(i.e. Journal of Laws of 2021, item 1129zezm.) in the scope of increasing the amount of electricity to 10% of the basic volume on an annual basis of consumption, i.e. by 416923.6kWh.c)The sale of electricity and the provision of distribution services will take place under the conditions set out in the Act of 10 April 1997 – Energy Law (i.e. Journal of Laws of 2021, item 716), implementing regulations to this Act, and in particular the Regulation of the Minister of Economy of 4 May 2007 on the detailed conditions for the functioning of the power system (Journal of Laws of 2021, Item of Laws of 2021). from 2007 No. 93, item 623zezm.),Regulation of Energy of December 29, 2017 on detailed rules for the formation and calculation of tariffs and settlements in electricity trading (i.e. Journal of Laws of 2019, item 503), Tariff for the Seller's electricity distribution services, Tariff for electricity distribution services of the relevant Distribution System Operator, Instructions for Operation and Operation of the Distribution Network, in accordance with generally applicable legal regulations, rules set out in concessions, relevant the provisions of the agreement and based on the Act of 11 September 2019 –PPL(i.e. Journal of Laws of 2021, item 1129). d) The Contractor is obliged to perform the contract on the terms and conditions specified in the essential provisions of the contract, which will be included in the content of the concluded public procurement contract.e)The Contractor will be obliged, without additional remuneration, for conducting commercial balancing.f) The Contracting Authority informs that the measurement and settlement systems are adapted to the principle of TPA, i.e. they meet the requirements of the "Instructions for Operation and Operation of the Distribution Network" in the Balancing section Distribution Network and System Constraint Management.g)The distribution system operator for all energy consumption points is ENERGA-OPERATORS. A.h) The Ordering Party informs that it is a producer of electricity and has been entered in the register of generators. It has a concession for the production of electricity no.WEE/1100/15792/W/3/2008/MG with amendments, issued by the President of the Energy Regulatory Office, valid until 31.12.2025.i)The Ordering Party is obliged to individually settle excise duty on all POINTS OF PPE.k)The amount of planned electricity consumption indicated above is an estimate, which does not reflect the real or declared use of electricity during the term of the contract and does not constitute on the part of the Ordering Party obligations to purchase energy in the given quantity and in no case can not be the basis for any claims from the Contractor.Actual settlements of consumed electricity will be made, monthly, on the basis of current indications of metering and settlement systems in the scope of:-distribution fees-based on prices and rates of fees resulting from the tariff for electricity distribution services approved by the President of the Energy Regulatory Office,- energy charges – based on electricity prices and rates of fees for commercial service in accordance with the tariff for electricity presented in the Contractor's offer

No. 93, item 623ze as amended), Regulation of the Minister of Energy of 29 December 2017 on detailed rules for the formation and calculation of tariffs and settlements in electricity trading (i.e. Journal of Laws of 2019poz.503)Tariff for the Seller's electricity, Tariff for electricity distribution services of the relevant Distribution System Operator (DSO Tariff) and other legal acts.c)The Contractor is obliged to execute the contract on the terms and conditions specified in the relevant the provisions of the contract that will be introduced into the content of the concluded public procurement contract.d)The Contractor will be obliged, without additional remuneration, for carrying out commercial balancing.e)The distribution service will be provided on the basis of a separate agreement concluded between the Ordering Party and the distribution system operator (DSO).f)The condition for starting the supply of electricity within the indicated (in relation to individual collection points) is that the The Ordering Party of a valid contract for the provision of electricity distribution services.g)The distribution system operator for all energy consumption points (PPE) is ENERGA-OPERATOR S.A.h)The Contractor, based on the Power of Attorney granted, will be obliged to:-notify the indicated Distribution System Operator for the implementation of the electricity sales contract concluded between the Ordering Party and the Contractor;-represent the Ordering Party before the relevant Distribution System Operator in matters related to the conclusion of a contract for the provision of distribution services, in particular to obtain and submit to the Ordering Party for signature the necessary documents, provided that the application is positively considered by the Distribution System Operator;i) The Contractor applying for the award of the contract is obliged to have, as at the date of submission of tenders, a valid agreement with the Distribution System Operator – ENERGA-OPERATOR S.A., on the basis of which it is possible to sell electricity for through the distribution network of this DSO to all the facilities of the Ordering Party indicated in Annex 1 to SWZ.j)The Ordering Party is a producer of electricity and has been entered in the register of generators.
