The subject of the contract are the delivery, assembly and commissioning as well as maintenance (provision of warranty and service) of 132 pieces of ticket machines with Software, powered by solar energy.
1. The subject of the contract are the delivery, assembly, commissioning and maintenance (provision of guarantee and service) of 132 pieces of ticket machines with Software, powered by solar energy (hereinafter referred to as "solar machines", "ticket machines" or "vending machines"), including their integration with the electronic toll collection system in public transport organized by ZTM – the so-called "GZM Transport", on the terms set out in Annex 8 to the SWZ – draft provisions of the agreement, also known as a 'model contract'. In terms of supply and installation of vending machines, the order is co-financed from the Government Fund Polish Governance: Strategic Investment Program.
2. The contract includes:
a) delivery of 132 brand new machines without defects and meeting all currently applicable standards, m.in. selling tickets and services of the "Transport GZM" system through various payment channels and presenting messages, timetables and information about the departure time of public transport vehicles,
b) delivery with automatic machines of the Software - central, sales and service, integrated with the "Transport GZM" system,
c) delivery of equipment for vending machines - end cassettes and coin hoppers and keys in the number contained in the Description of the subject of the contract constituting Annex 3 to the contract,
d) performance of all legal and factual activities related to the assembly and commissioning of machines in places designated by the Ordering Party in the Upper Silesian-Zagłębie Metropolis,
e) delivery of all technical and utility documentation regarding machines and their Software,
f) providing an application for reporting and handling machine errors,
g) provision of maintenance services - guarantee and service for a period of 10 years counted from the signing by the Ordering Party of the so-called final acceptance protocol, the attachments of which will be a set of acceptance protocols of individual machines,
h) training at the Ordering Party's headquarters up to 15 users of the Ordering Party's ticket machines,
i) providing servers with the Software necessary to complete the order (the Ordering Party requires a cloud solution),
j) ensuring proper handling of settlements of transactions performed in machines, including those carried out with payment cards,
k) incurring all direct and indirect costs related to the performance of the contract, in particular with the assembly and operation of machines and related supplies and services referred to in the contract, in particular the costs of devices, instruments, Software, all fees resulting from the installation of the machine in a place designated by the Ordering Party, transport, packaging, communication, data transmission, land occupation, electrical measurements, training, service, settlement of transactions by acquirers, certification, integration and connection as well as other activities and fees necessary for the smooth operation of machines throughout the entire period of the contract.
3. The description of the subject of the contract is included in Annex No. 1 to the SWZ, which will also be Annex No. 3 to the contract.
4. Pursuant to Article 95(1) of the PPL, the Contracting Authority requires the Contractor or subcontractor, on the basis of an employment relationship, to employ persons performing activities in the scope of contract performance consisting in the assembly and disassembly of automatic machines, as well as their servicing and maintenance.
5. The method of verifying the employment of persons referred to in point 5, as well as the rights of the Contracting Authority in the scope of control of compliance by the Contractor with the requirements related to the employment of these persons and sanctions for failure to meet these requirements are indicated in the model contract constituting Annex 8 to the SWZ.
