The subject of the contract is a service, within the meaning of Article 7 point 28 of the Public Procurement Law, consisting in installing parking meters to operate the Paid Parking Zone in Bydgoszcz along with conducting technical and organizational activities related to their comprehensive service, maintenance and collection of parking fees in the years 2023 - 2033.

In addition to the basic scope of the contract, the Ordering Party provides for the possibility of using the option.

The Ordering Party reserves the right of option to exercise the right of option in full or in part.

1. A detailed description of the subject of the contract (basic and optional) and the conditions for performance of the contract are included in the draft provisions of the contract, constituting an annex

with attachments, constituting Annex 2 to the Agreement and in the model offer form, constituting Annex No. 2 to the SWZ.

2. Pursuant to Article 95(1) of the Public Procurement Law, the contracting authority requires that the contractor or subcontractor during the performance of the contract (during the entire term of the contract) employs on the basis of an employment relationship within the meaning of the provisions of the Labour Code (Article 22 § 1), persons performing during the performance of the contract: activities related to assembly, disassembly, servicing and maintaining in constant efficiency parking meters as well as servicing and maintaining in constant efficiency of all supplied resources hardware and system. Servicing includes, m.in maintenance, repairs, inspections, participation in selecting sales from parking meters, keeping clean.

A detailed description of the requirements of the Contracting Authority in this respect is provided in the proposed provisions of the Agreement, which are annex No 1 to the SWZ.

3. The Contractor may entrust the performance of part of the contract to a subcontractor, taking into account the prohibition described in point V.12. SWZ.

In the scope of subcontracting, the provisions of Articles 462-465 of the Public Procurement Law shall apply.

The Contractor is obliged to indicate in the Offer and in the ESPD the parts of the contract (in % or material scope) whose performance it intends to entrust to subcontractors, and the names of any subcontractors, if they are already known. The lack of a contractor's statement in this respect will mean that the contractor intends to independently perform the entire contract.

The contractor is responsible for the actions, shortcomings, negligence of the subcontractor, as for his actions.

4. The Contracting Authority shall not allow partial bids to be submitted. The contracting authority does not divide the contract into lots. Justification for not dividing the contract into lots:

The Ordering Party does not divide the contract into parts, because it is not justified due to the specificity of the delivery and service and the need to ensure uniform service and technical service of all parking meters and all hardware and system resources. When dividing the order, technical coordination of all functionalities, i.e. m.in zero ticket, mobile payments, fees for calls in parking meters, application, information on parking boards, etc. would result in excessive organizational difficulty in the case of service by a larger number of Contractors. All elements are interconnected by a complex network of ITS connections, IT, billing, cash register, debt collection and mobile payment systems. Dividing the contract into lots would result in increased costs for the Contracting Authority, technical difficulties in the performance of several contracts and coordination of activities of various contractors performing different elements of the contract. Such a division could threaten the proper performance of the contract, i.e. e.g. a Contractor providing maintenance and servicing services for parking meters and other hardware and system resources could not be ready to meet the technical conditions corresponding to the parameters of devices provided by another Contractor.

Therefore, it is not in the interest of the Contracting Authority to separate the responsibility resulting from the performance of the contract - for the provision of supplies and services to a larger number of entities, i.e. suppliers and contractors. Also in the aspect of public finance discipline, it becomes reasonable not to distribute the contract to several Contractors, due to the many types of payments made through parking meters, e-shop, application and various payment methods (cash, card, BLIK, transfer).

5. The contracting authority does not provide for the possibility of awarding contracts referred to in Article 214(1)(7) of the Public Procurement Law.
