1. The subject of the Order is to design and implement a complete Electric Energy Storage Facility (hereinafter referred to as "EES") on a "turnkey" basis (EPC), in particular: to prepare complete and defect-free Documentation, including project documentation, obtain a Building Permit, supply brand new, complete, defect-free and undamaged devices constituting the EES, prepare the Construction Site, carry out installation work of the EES, perform accompanying works, start-up of the EES, make - if necessary - the modifications required for the start-up of the EES of existing devices and infrastructure, conduct tests for the required components of the EES (FAT/SAT), perform remaining installation works, supply and install brand new, complete, defect-free and undamaged transformer units or units 400 kV/SN, integrate with ESD systems and the Ordering Party's systems, obtain a Usage Permit, hand over the EES to operation, obtain Operator Permits, train the Ordering Party's operational services, as well as remove defects during the Warranty Period and provide service (Service) in relation to the EES. The Contractor undertakes to design and implement the EES with Guaranteed Technical Parameters and achieving and maintaining Guaranteed Technical Parameters, which - fulfilling the requirements specified in the Agreement, Legal Regulations effective on the date of signing the Handover Protocol for Operation - will be able to fulfill all intended functions and cover the EES with Service, as well as fulfill all other obligations of the Contractor specified in the Agreement. 2. Whenever the concepts mentioned in point 1 are written in capital letters, their meaning has been defined in Appendix No. 2 to the SWZ - Draft provisions of the contract. 3. A detailed description of the subject of the Order is described in Appendix No. 1 to the SWZ - Functional-Utility Program (FUP), Appendix No. 2 to the SWZ - Draft provisions of the contract (PPU). 4. In all cases where the Ordering Party describes the subject of the Order using norms, technical evaluations, technical specifications, and reference technical systems as mentioned in Article 101, paragraph 1, point 2) and paragraph 3) of the PZP Act, the Ordering Party allows equivalent solutions to those described - on the terms described in Article 101, paragraph 4 and paragraph 5 of the PZP Act. 5. The Ordering Party intends to apply for: granting funds from the Modernization Fund. The National Fund for Environmental Protection and Water Management (NFOŚiGW) occupies the role of the National Operator of the Modernization Fund; obtaining financing from the revenues from the capacity market. The Ordering Party informs that if the public funds intended to finance all or part of the Order, especially those from EU funds or from revenues from the capacity market, are not granted to it (including granted at a lower amount than requested), the Ordering Party reserves the right to annul the Procedure, based on Article 257 of the PZP Act. 6. Detailed deadlines for the execution of the order have been specified in the Agreement, with the Guaranteed Acceptance Date for operation of the Subject of the Agreement being set for the date falling 33 (thirty-three) months from the Entry into Force or by September 30, 2028, depending on which of these dates occurs first.
