Description:
A framework agreement is being established for legal services related to corporate projects of the state, covering various legal areas including corporate law, M&A, and competition law, with up to three suppliers selected through mini-competitions.

The tender aims to establish a framework agreement for the provision of legal services in connection with the state's corporate projects.

Corporate Projects are understood as corporate law-related, transactional, and/or ownership-related tasks and related projects concerning companies, partnerships, and public enterprises, including investments, purchase and sale of companies (M&A), capital increases, as well as general advice and assistance in the state's management of ownership in existing companies, partnerships, and public enterprises with state ownership or partnership shares, as well as potentially future new companies, partnerships, and public enterprises with state ownership or partnership shares. This includes both minority- and majority-owned companies, state partnership shares, and publicly listed companies.

The framework agreement shall ensure access to legal advice and assistance within the following legal areas in connection with a Corporate Project:
Primary legal areas:
1) corporate law and corporate governance,
2) M&A, transactions, and due diligence,
3) capital matters and financing,
4) competition and merger control law,
5) capital markets law and stock exchange law,
6) contract law and commercial agreements,
7) insolvency, restructuring, and distressed companies,

Secondary legal areas:
8) state aid law,
9) tax, VAT, and duties,
10) disputes, liability, and conflict resolution,
11) FDI screening
12) Executive compensation packages, including incentive schemes.

The framework agreement will be awarded to up to 3 suppliers, and the allocation of specific advisory tasks will take place through mini-competitions. A framework agreement will be entered into with each supplier. The framework agreements may, in addition to the Ministry of Finance, also be used by other entities within the Danish state. The Danish state in this context includes ministries, agencies, directorates, boards, and committees.

The framework agreements are non-exclusive. The customer is not obligated to exclusively use the entered framework agreements and is thus, among other things, entitled to use the Chamber Advocate agreement and to carry out the execution of the services themselves. Suppliers are not guaranteed any minimum turnover.
