1. The subject of this order is the execution of an investment task titled “Modernization of the Wapienica Wastewater Treatment Plant in Bielsko-Biała” (hereinafter referred to as the “Investment”) in the form of “design and build.”
2. The execution of the subject of the contract aims to achieve the ecological effect described in the functional and utility program entitled: “Modernization of the Wapienica Wastewater Treatment Plant in Bielsko-Biała.”
3. As part of the obligations arising from the Agreement, the Employer also requires the Contractor to obtain final administrative decisions regarding water law permits, construction permits, and use permits for the Facility, and then to conduct mechanical, hydraulic, and technological start-ups of the Facility and Final Tests.
4. The place of execution of the Investment is the property located in Bielsko-Biała, Wapienica district, at 1 Dywizji Pancernej 56, owned by the Employer. There is a functioning Wastewater Treatment Plant on the indicated property, which is owned by the Employer.
5. The scope of the subject of the contract includes, in particular:
1) development of a detailed Concept, i.e., a program-spatial document containing technical solutions, process and technological calculations taking into account the verified data regarding the quantity and quality of raw sewage for the realization of the Investment (hereinafter referred to as the “Concept”),
2) development of complete project documentation along with obtaining all necessary arrangements/permits for the realization of the subject of the contract, including in particular the final administrative decision regarding the water law permit and the final decision regarding the construction permit for the Investment,
3) execution of all construction and assembly works related to the modernization of the Facility and other works, including all accompanying works, in particular preparatory, measurement, inventory, and cleaning works, as well as all temporary works necessary for the proper execution of the Investment, including the delivery and installation of all devices,
4) conducting successful mechanical, hydraulic, and technological start-ups as well as Final Tests, defined in the PFU as Operational Tests to confirm the correct operation of individual objects created as part of the Investment as well as the Facility as a whole, along with obtaining the final administrative decision allowing the Facility to be put into use,
5) land development, AKPiA, remaining technical infrastructure,
6) conducting operational training for the Employer's employees,
7) cooperation with the Employer to transfer the Facility to the inventory of the Employer's assets, and in particular to determine the costs of individual objects created as part of the Investment or specific devices transferred with separate OT documents.
6. The scope of work included in the subject of the contract is described in detail in:
1) PFU developed by the company TIM Maciej Kita located at ul. Czapli 57, 44-100 Gliwice
2) decision on environmental conditions for the project titled “Modernization of the Wastewater Treatment Plant in Wapienica at ul. 1 Dywizji Pancernej 56,” issued by the President of the City of Bielsko-Biała on April 11, 2025, number ose-uz.6220.86.2023.KM, attached to the SWZ,
3) documentation of the objects for modernization, attached to the SWZ,
4) specification of the terms of the order (SWZ).
7. The Employer reserves, and the Contractor acknowledges, that the PFU should be treated as guidelines concerning the scope of work, requirements, and methods of performing basic work and activities necessary for their execution. The lack of a description of any activity necessary to complete the work does not exempt the Contractor from the obligation to perform it. The conditions of work execution will be defined by the Concept and project documentation, which will be subject to approval and acceptance for execution by the Employer.
8. The Contractor is obliged to consult with the Employer all technical, technological, and economic solutions, also regarding the proposed materials, and obtain prior written approval from the Employer for their use.
9. The execution of the subject of the contract will be divided into three stages:
Stage I - Concept development phase
Stage II - Development phase of complete project documentation along with obtaining final administrative decisions regarding the water law permit and construction permit
Stage III - Execution phase of construction and assembly works for the modernization of the Facility, obtaining the administrative decision on the use of the Facility, mechanical, hydraulic, and technological start-up along with Final Tests.
