The subject of the contract is the supply and installation in individual households and public utility buildings of Renewable Energy Sources installations (photovoltaic panels with energy storages) within the Municipality and Town of Odolanów as part of the investment task entitled: Investment activities concerning the construction of Energy Cluster infrastructure of the Municipalities of Odolanów, Przygodzice, Sulmierzyce. The task is carried out under the "design and build" formula on the properties of the residents of the Municipality and Town of Odolanów and Public Utility Buildings, under contract no. KPOD.03.12-IP.05-0022/24, project entitled "Investment activities concerning the construction of Energy Cluster infrastructure of the Municipalities Odolanów, Przygodzice, Sulmierzyce" co-financed under Investment B2.2.2/G1.1.2 of the National Recovery and Resilience Plan (KPO): RES installations implemented by energy communities, Part B: investment support for energy communities.5.1.The task has been divided into four parts.1) Part one: Supply and installation of photovoltaic panels and energy storages for AREA 1 – ODOLANÓW. 2) Part two: Supply and installation of photovoltaic panels and energy storages for AREA 2 – BONIKÓW, GARKI, HUTA, NADSTAWKI, RACZYCE, ŚWIECA, UCIECHÓW, 3) Part three: Supply and installation of photovoltaic panels and energy storages for AREA 3 – BABY, GLIŚNICA, GORZYCE MAŁE, KUROCH, KACZORY, NABYSZYCE, TARCHAŁY MAŁE, TARCHAŁY WIELKIE, WIERZBNO. 4) Part four: Supply and installation of photovoltaic panels and energy storages for Public Utility Buildings of the Municipality and Town of Odolanów. 2.Information about the power and number of photovoltaic installations and the capacity and quantity of energy storages in each part of the contract is indicated in Annex no. 11 to the Terms of Reference (SWZ). The information provided in this annex results from the funding application and residents’ declarations concerning participation in the project, and may therefore be subject to change during the procedure or contract execution. The Contracting Authority reserves the right to amendments decreasing or increasing within the option. The Contracting Authority guarantees the execution of the basic scope of each part of the contract at no less than 90% of the total photovoltaic installation capacity and 90% of the total capacity of the energy storages specified for this part of the contract in the SWZ. Use of the option right by the Contracting Authority consisting in the reduction of the material scope of the contract may not lead to lowering the total power of photovoltaic installations or total storage capacity intended to be implemented below the above-mentioned level of 90% of the basic scope. This means that the maximum reduction of the scope of the contract under the option right can be no more than 10% of the total power of photovoltaic installations and no more than 10% of the total capacity of energy storages specified for the basic scope of the given part of the contract. The Contractor’s remuneration in case of reduction of the scope of the contract will be appropriately decreased based on the unit prices indicated in the Contractor’s offer. 3.Description applies to all parts: The scope of work for all parts of the order includes preparation of building and executive designs (one design for each building object) with all legally required agreements, opinions, consents, and decisions, as well as notification of micro-installation to the power network, and based on that, performing all construction and installation works at the resident’s property and public utility buildings, as well as fulfilling other services specified in the Functional and Utility Program (PFU) and contract, including conducting instructional training for users of the facilities on installation operation, servicing the installation during warranty and guarantee period. 5.2.Detailed description of the contract subject: - for tasks no. 1, 2, 3 included in the Functional and Utility Program prepared by PERSEM Sp. z o.o. at Kędzierzyńska 17A/102, 41-902 Bytom, constituting Annex no. 12 to SWZ, - for task no. 4 included in the Functional and Utility Program prepared by PERSEM Sp. z o.o., Kędzierzyńska 17A/102, 41-902 Bytom, constituting Annex no. 13 to SWZ. The Contracting Authority published the SWZ and annexes which form its integral part on the website of the ongoing procedure. Contractor rights and obligations also result from the contract template which is an annex to the SWZ. 5.3.The Contracting Authority foresees the possibility of convening a meeting of Contractors to clarify the contents of the SWZ. The meeting date will be announced later. Information about the meeting date will be available on the procedure’s website. The meeting will take place at the seat of the Municipality and Town Office of Odolanów, room 2.1 Conference Room (address: Rynek 1, 63-430 Odolanów). The description of the contract subject in terms of equivalency, according to Article 100(1) of the Public Procurement Law (Pzp) and ICT compliance requirements is contained in point 5.4 of the SWZ. Pursuant to Article 139(1) of the Public Procurement Law, the Contracting Authority will first examine and evaluate the offers, then qualify the Contractor whose offer is highest-rated, regarding exclusion grounds and meeting participation conditions. The Contracting Authority does not foresee granting advances for contract execution. Pursuant to Article 455(1)(1) of the Public Procurement Law, the Contracting Authority foresees the possibility to amend the contract’s provisions. Draft provisions on contract changes are specified in the contract template, annexed to the SWZ. The Contracting Authority allows partial offers for respective parts of the contract, but these parts cannot be divided by Contractors. No market consultations were conducted before launching the procedure. The Contracting Authority foresees the possibility for Contractors to carry out site visits. The site visit description is included in point 4.1 of the SWZ – amended version.
LOT-0001
Part no. 1
Supply and installation of photovoltaic panels and energy storages for area 1 - Odolanów.
Supply and installation of photovoltaic panels and energy storages for AREA 1 - ODOLANÓW.
I. Description: Part 1 of the task includes supply and installation of photovoltaic panels with a total capacity of 775.40 kWp and energy storages with a total capacity of 1258 kWh for 199 households of the residents of the Municipality and Town of Odolanów.
The Contracting Authority specifies:
- approximate number of installations placed on roofs of residential/utility/garage buildings – 168 installations,
- approximate number of installations placed on the ground – 31 installations.
Depending on technical conditions, if it is not possible to install on roofs of residential/utility/garage buildings, the installation will be located on transformed ground on the plot adjacent to the residential building.
The Contracting Authority reserves the right to change the stated locations or installation capacity and storage capacity in case of a resident’s resignation from the installation or due to technical impossibility of installation at a given location. In such cases, a new location will be assigned with the type of installation and storage capacity within the types of installations indicated in the offer annex and storage capacity of 6 or 10 kWh, or the order scope will be reduced within the option or contract annex.
The order must be executed within 6 months from the date of contract award.
Partial deadlines:
- completion of project documentation and delivery to the Contracting Authority within 3 months from the award date (stage I),
- completion of all installation works and fulfillment of other services required from the Contractor including notification of each micro-installation connection to the Energa Operator network, within 6 months from order award.
II. OPTION regarding part 1 of the task.
1. The Contracting Authority reserves the right to apply the option right under Article 441(1) of the Public Procurement Law as described below:
1.1. The Contracting Authority reserves the right to increase or decrease the material scope of the order regarding the quantity or power of photovoltaic installations and quantity or capacity of energy storages.
The basic scope of the order for part 1 includes supply and installation of 199 photovoltaic installations and energy storages with a total capacity of 775.40 kWp and total energy storage capacity of 1258 kWh.
Under the option:
1. The Contracting Authority may increase:
1) total photovoltaic installation capacity by a maximum of 198 kWp by adding new locations within installation types listed in Annex no. 11 to SWZ,
2) total energy storage capacity by a maximum of 330 kWh by adding new locations within installation types in Annex no. 11 to SWZ.
2. The Contracting Authority may decrease:
1) total photovoltaic installation capacity by a maximum of 42 kWp by resigning current locations,
2) total energy storage capacity by a maximum of 70 kWh by resigning current locations.
1.2. Contractor’s remuneration will be increased or decreased accordingly based on unit prices specified in the offer form: prices per 1 kWp for photovoltaic installations and per 1 kWh for energy storages, and unit prices for project documentation.
1.3. The Contracting Authority is not obliged to use the option right, and Contractors have no claims for additional or reduced orders.
1.4. The Contracting Authority foresees possibility to use the Option in case of:
1. increased basic material scope due to savings, i.e. when the most advantageous offer price is lower than the allocated amount for task execution,
2. possibility to increase basic material scope due to residents’ resignation or technical impossibility of ground or building installation (storage) in another contract part awarded by this procedure,
3. decreased basic material scope due to:
a) residents’ resignation for various reasons, b) technical impossibility of installation on ground or building, or change of installation location compared to declaration,
1. 5. Option right usage date: The Contracting Authority may use the option right during the contract term. Exercising the option will consist of submitting to the Contractor a statement on option use, which will specify also the scope of the order subject to the option. The Contracting Authority may submit multiple declarations of option use until the material scope under the option is exhausted. If the Contracting Authority submits such a declaration, in case of increased material scope, the Contractor is obliged to complete all ordered scope under the option within the contract term from the receipt of the declaration.
The place of option execution will be the entire area of the Municipality and Town of Odolanów. Therefore, the Contractor executing parts 1 to 3 will be obliged to execute increased order scope territorially beyond their own part, but within the administrative borders of the Municipality and Town of Odolanów.
LOT-0002
Part no. 2
Supply and installation of photovoltaic panels and energy storages for AREA 2 – BONIKÓW, GARKI, HUTA, NADSTAWKI, RACZYCE, ŚWIECA, UCIECHÓW .
. I. Description: Part 2 of the task involves the supply and installation of photovoltaic panels with a total capacity of 1075.60 kWp and energy storage systems with a total capacity of 1718 kWh for 269 households of the Municipality and City of Odolanów residents.
The contracting authority specifies:
- approximate number of installations located on the roofs of residential/agricultural/garage buildings - 213 installations,
- approximate number of installations located on the ground – 56 installations.
Depending on technical conditions, if installation on the roofs of residential/agricultural/garage buildings is not possible, the investment will be located on transformed ground, on a plot next to the residential building.
The contracting authority reserves the right to change the given locations or the power of the installations and capacity of the storage in case of a resident's resignation from the installation or due to the lack of technical possibility to execute the installation in a given location. In such a case, a new location will be provided along with the type of installation and storage capacity within the types of installations indicated in the appendix to the offer and storage capacity of 6 or 10 kWh, or the scope of the order will be reduced within the option or annex to the contract.
The order must be completed within 6 months from the date of contract award.
Partial deadlines:
- preparation of project documentation and its delivery to the contracting authority within 3 months from the contract award date (Stage I),
- completion of all installation works and fulfillment of other obligations of the Contractor resulting from the contract along with the connection notification of each microinstallation to the Energa Operator grid, within 6 months from the contract award date.
II. OPTION regarding part 2 of the task.
1. The contracting authority reserves the right to apply the option right provided for in art. 441 paragraph 1 of the Public Procurement Law, as described below:
1.1. The contracting authority reserves the right to increase or decrease the physical scope of the order in terms of quantity or power of photovoltaic installations and quantity or capacity of energy storages.
The basic scope of the order covering part 2 of the task includes the supply and installation of 269 photovoltaic installations and energy storage with a total capacity of 1075.60 kWp and energy storages with a total capacity of 1718 kWh.
Within the option:
1. The contracting authority may increase:
1) the total power of photovoltaic installations by up to 204 kWp by adding new locations within the types of installations listed in appendix no. 11 to the ToR,
2) the total capacity of energy storages by up to 340 kWh by adding new locations within the types of installations listed in appendix no. 11 to the ToR.
2. The contracting authority may decrease:
1) the total power of photovoltaic installations by up to 36 kWp by withdrawing from existing locations,
2) the total capacity of energy storages by up to 60 kWh by withdrawing from existing locations.
1.2. The Contractor’s remuneration will be appropriately increased or decreased based on unit prices specified in the offer form: expressed by price per 1 kWp for photovoltaic installations and per 1 kWh for energy storages, and unit prices for project documentation.
1.3. The contracting authority is not obliged to use the option right, and the Contractor has no claim to additional or reduced order.
1.4. The contracting authority anticipates the possibility to use the option in case of:
1. an increase in the basic physical scope of the order specified in the ToR for the given part due to realized savings, i.e., when the most advantageous offer price is lower than the amount allocated for the task implementation,
2. the possibility to increase the basic physical scope of the order specified in the ToR due to residents’ withdrawal or lack of technical feasibility to install on ground or building (storage) in another part of the order awarded under this procedure,
3. a decrease in the basic physical scope of the order specified in the ToR due to:
a) residents’ withdrawal from participation in the project for various reasons,
b) lack of technical feasibility to place installations on ground or building, or change of placement compared to the declared one.
1.5. Time to exercise the option right: The contracting authority may exercise the option right during the contract term. Exercising the option right will consist of submitting a statement to the Contractor about exercising the option right; this statement will also specify the scope of the order covered by the option right. The contracting authority may repeatedly submit statements about exercising the option right until the physical scope covered by the option right is exhausted. If the contracting authority submits such a statement, then in case of increasing the physical scope, the Contractor is obliged to complete the entire scope ordered under the option from the day of receipt of the statement until the end of the contract term.
The place of option execution will be the entire area of the Municipality and City of Odolanów. Therefore, a contractor performing parts 1 to 3 of the order will be obliged to perform the increased scope territorially exceeding the area of their part but within the administrative boundaries of the Municipality and City of Odolanów.
LOT-0003
Part no. 3
Supply and installation of photovoltaic panels and energy storages for precinct 3 - Baby, Gliśnica, Gorzyce Małe, Kuroch, Kaczory, Nabyszyce, Tarchały Małe, Tarchały Wielkie, Wierzbno.
I. Description: Part 3 of the task includes the supply and installation of photovoltaic panels with a total capacity of 642.80 kWp and energy storages with a total capacity of 1010 kWh for 159 households of the Municipality and City of Odolanów residents.
The contracting authority specifies:
- approximate number of installations located on the roofs of residential/agricultural/garage buildings - 118 installations,
- approximate number of installations located on the ground – 41 installations.
Depending on technical conditions, if installation on the roofs of residential/agricultural/garage buildings is not possible, the investment will be located on transformed ground, on a plot next to the residential building.
The contracting authority reserves the right to change the given locations or the power of the installations and capacity of the storage in case of a resident's resignation from installation or lack of technical possibility to execute the installation in a given location. In such a case, a new location will be provided along with the type of installation and storage capacity within the types of installations indicated in the appendix to the offer and storage capacity of 6 or 10 kWh, or the scope of the order will be reduced within the option or annex to the contract.

2) the total capacity of energy storages by up to 330 kWh by adding new locations within the types of installations listed in appendix no. 11 to the ToR.
2. The contracting authority may decrease:
1) the total power of photovoltaic installations by up to 42 kWp by withdrawing from existing locations,
2) the total capacity of energy storages by up to 70 kWh by withdrawing from existing locations.

Part no. 4
Supply and installation of photovoltaic panels and energy storages for Public Utility Buildings of the Municipality and City of Odolanów.
I. Description: Part 4 of the task consists of the delivery and installation of photovoltaic panels with a total capacity of 377.2 kWp for 12 public utility buildings of the Odolanów Municipality and City, as well as energy storage units for 11 public utility buildings of the Odolanów Municipality and City with a total capacity of 378 kWh.
The contracting authority specifies:
- number of installations located on the roofs of public utility buildings - 8 installations,
- number of ground-mounted installations - 4 installations,
- number of energy storage units - 11.
The contracting authority reserves the right to change the installation capacity or storage capacity if the offered price is lower than the amount allocated to finance the contract. In such a case, the capacity of the installation or storage may be changed within the types of installations indicated in the attachment to the offer.
The order must be completed within 6 months from the date of contract award.
Partial deadlines:
- preparation of design documentation and submission to the contracting authority within 3 months from the date of contract award (stage I),
- completion of all installation works and fulfillment of other obligations of the Contractor arising from the contract along with the connection notification of each micro-installation to the Energa Operator network, within 6 months from the date of contract award.
II. OPTION regarding part 4 of the task.
1. The contracting authority reserves the right to apply the option right referred to in Article 441, paragraph 1 of the Public Procurement Law, as described below:
1.1. The contracting authority reserves the possibility to increase the capacity of photovoltaic installations and the capacity of energy storage units.
The basic scope of the order including part 4 of the task covers the delivery and installation of 12 photovoltaic installations and 11 energy storage units with a total capacity of 377.2 kWp and storage units with a total capacity of 378 kWh.
Under the option:
1. The contracting authority may increase:
1) the total capacity of photovoltaic installations by up to 200 kWp,
2) the total capacity of energy storage units by up to 200 kWh.
1.2. The Contractor's remuneration will be respectively increased or decreased based on unit prices specified in the offer form: expressed by the price per 1 kWp for photovoltaic installations and per 1 kWh for energy storage units, and unit prices for design documentation.
1.3. The contracting authority is not obliged to use the option right, and the Contractor has no claim for an additional order.
1.4. The contracting authority foresees the possibility of exercising the Option in the case of:
1. increasing the basic material scope of the order specified in the Terms of Reference due to savings resulting from the fact that the price of the most advantageous offer is lower than the amount allocated for the task implementation,
1.5. Deadline for exercising the option right: The contracting authority may exercise the option right during the contract term. Exercising the option right will involve submitting a statement to the Contractor about exercising the option right; this statement will also specify the scope of the order covered by the option right.
