1. The subject of the contract is the delivery and installation including design and commissioning of a 450 kWp photovoltaic installation under the funding application titled: Development of distributed energy based on RES for public utility buildings in the Zawiercie Commune 6.
2. The subject of the contract is to design the photovoltaic installation and carry out construction and engineering works for electrical and mechanical devices designed by the Contractor.
3. The execution of the subject of the contract includes in particular:
a) Preparation of design documentation and obtaining on behalf of the Contracting Authority the decision enabling the investment implementation;
b) Preparation of executive designs and as-built documentation;
c) Carrying out construction and assembly works with the supply of necessary materials and devices as well as software licenses, installation and configuration;
d) Performing geodetic work and developing the concept of the layout and installation of photovoltaic panels with a capacity of 450 kWp,
e) Connection of the photovoltaic installation to the existing energy infrastructure taking into account the requirements contained in the Energy Network Connection Conditions no. WP/040507/2025/O07R00 issued by Tauron Distribution on 28.08.2025.
f) Integration of the designed photovoltaic installation with existing cogeneration units of 2 x 250 kW capacity via an industrial PLC-type controller
g) Providing data in a standard compatible with the Modbus TCP IP protocol to the monitoring system of RPWiK Sp. z o.o. and the visualization system of the Wastewater Treatment Plant operation type SCADA
h) Carrying out final tests;
i) Removal of all defects and faults in the Works;
j) Obtaining a valid permit for use (in case a Building Permit is obtained) and other permits necessary for the operation of completed facilities;
k) Commissioning the scope of the project

5. BASIC DESIGN ASSUMPTIONS REGARDING THE PHOTOVOLTAIC INSTALLATION
a) Installed PV panel power: 450 kWp (due to DSO requirements, a total nominal power of installed panels reduced by 500 Wp is allowed)
b) Installation type: ground-mounted
c) Operation mode: own consumption, cooperation with existing biogas units
d) Control and monitoring: industrial PLC-type controller
e) Preview and visualization: SCADA system, RPWiK Sp. z o.o. Monitoring
6. Place of connection of the installation to the network and division of the system into sections in accordance with the connection conditions to the power network and agreements with Tauron Distribution
7. Delivered devices must be unused and brand new (manufactured no later than 2026), coming from an official distribution channel.
8. A detailed description of the subject of the contract as well as a description of how to perform parts of the contract is included in the Functional and Utility Program (PFU), constituting an annex to the Terms of Reference (TOR).
9. According to the provisions of the Draft Contract Terms, the Contracting Authority has provided for lump-sum settlement within the meaning of Article 632 of the Civil Code (for the design and execution of a given type of installation).
10. The Contracting Authority also informs that according to the provisions of the Draft Contract Terms, it will require the Contractor selected in the procedure to establish insurance protection (according to the rules specified in the Draft Contract Terms) and provide contractual performance security, in accordance with this TOR.
11. The Contracting Authority requires the Contractor to provide a warranty for construction and assembly works as well as delivered and installed devices: minimum 5 years, counted from the date of signing by the Contracting Authority the final defect-free acceptance protocol.
12. Time to fix failures – up to 5 working days from the start of failure repair, on working days from 7:00 to 15:00.
13. Response time to a service request – up to 24 hours from the moment of reporting on working days from 7:00 to 15:00 according to the terms of the Agreement.
14. Where in the TOR including the Functional and Utility Program (PFU) or other tender documents a trademark (brand), patent or origin, source or specific process characterizing products or services delivered by a specific Contractor has been indicated, or standards, technical assessments, technical specifications and systems of technical references referred to in Article 101 paragraph 1 point 2 and paragraph 3 of the Act have been indicated, the Contracting Authority, pursuant to Article 99 paragraph 5 of the Act, allows submission of an equivalent offer or, pursuant to Article 101 paragraph 4 of the Act, offering "equivalent" solutions to those indicated in the description of the subject of the contract, provided they ensure technical parameters not worse than those assumed in the TOR including the PFU.
15. Pursuant to Article 101 paragraph 5 of the Public Procurement Law, a Contractor referring to equivalent solutions described by the Contracting Authority (in terms of standards, technical assessments, technical specifications and systems of technical references referred to in Article 101 paragraph 1 point 2 and paragraph 3 of the Public Procurement Law) must prove in the offer, particularly by means of the relevant evidences referred to in Articles 104-107 of the Public Procurement Law, that the proposed solutions equivalently meet the requirements specified in the description of the subject of the contract.
