Construction of an innovative RES installation The subject of the contract is the supply, installation, commissioning, and handover of a complete photovoltaic installation cooperating with an energy storage system and energy management system, intended for operation at the Ordering Party's facility located at ul. Św. Proroka Eliasza 6, 15-568 Białystok. A detailed description of the subject of the contract is contained in Chapter IV, paragraph 3 of the Request for Proposal (RFP). Points in criterion K1 for the evaluated bids will be assigned according to the formula: K1 = Cr/Ck × 40 where: Cr – lowest price among all offers [PLN], Ck – price of the evaluated offer [PLN] Full content in RFP. - Completion time (K2) – criterion weight – 30 pts Points will be awarded according to the formula K2 = Tmin/Tb × 30

Participation conditions: - Economic and financial situation: The Ordering Party shall consider the condition fulfilled if the Contractor is insured for civil liability in the scope of business activity related to the subject of the contract, for an amount of at least PLN 150,000. A confirmation document shall be a current, paid OC insurance policy or other insurance document confirming the Contractor's insurance in the business activity scope. The document referred to must be submitted by the Contractor no later than before the contract conclusion. Failure to submit this document in due time entitles the Ordering Party to withdraw from contracting with the Contractor. - Authorization to perform specific activities or actions: not applicable - Technical potential: not applicable - Knowledge and experience: Contractors who meet the following conditions may participate: The Ordering Party requires that the Contractor, during the last 3 years prior to the offer submission deadline, or if the business operation period is shorter – within that period, has experience in the proper execution of: - at least two contracts each involving the construction of a photovoltaic installation with an installed capacity of not less than 40 kW; - at least one contract for the supply and installation of an energy storage system with a capacity of no less than 20 kWh; - Persons capable of executing the contract: The Ordering Party requires that the Contractor have at least one person holding a valid qualification certificate E authorizing operation of devices, installations, and electrical networks above 1 kV. - Additional participation conditions: 1. Contractors may not participate in the procedure if: 1.1. They are related to the Ordering Party or persons authorized to incur obligations on behalf of the Ordering Party or persons performing activities related to the preparation/conduct of the contractor selection procedure on behalf of the beneficiary, personally or by capital ties, in particular: a) participation in a company as a partner in a civil or personal partnership, b) holding at least 10% of shares or stocks (unless a lower threshold results from law), c) holding the position of a supervisory or managing board member, proxy, attorney, d) being in a marital, kinship, or affinity relation up to the second degree or related by adoption, care, or guardianship or cohabitating with the contractor or their legal representative or members of governing or supervisory bodies of contractors applying for the contract, e) being in legal or factual relations that may raise justified doubts about impartiality, especially kinship, affinity, adoption, care, guardianship, or marital relations; 1.2. They are subject to circumstances indicated in Article 7 section 1 points 1-3 of the Act of 13 April 2022 on Special Solutions Counteracting Support of Aggression on Ukraine and Safeguarding National Security (Journal of Laws item 835) or Article 5 k of Regulation (EU) 2022/576 of 8 April 2022 amending Regulation (EU) No 833/2014 related to restrictive measures because of Russia's actions destabilizing Ukraine (Official Journal of EU L 111 of 8.4.2022, p.1); 1.3. They have been finally sentenced by a court or final administrative decision for tax, fee, or social/health insurance payment arrears, unless the contractor has paid due taxes, fees, or contributions with interest/penalties or concluded a binding agreement on repayment before the offer submission deadline; 1.4. Liquidation or bankruptcy procedures have been opened against them, their assets are managed by a liquidator or court, they have an arrangement with creditors, their operations are suspended, or are in other similar situations resulting from similar law provisions; 1.5. They have violated environmental, social, or labor law obligations: a) Being an individual convicted of environmental crimes under Chapter XXII of the Penal Code or crimes against employee rights under Chapter XXVIII of the Penal Code or corresponding foreign offenses, b) Being an individual penalized for employee rights or environmental misdemeanors with arrest, restriction of liberty or fines, c) Having a final administrative decision about violations of environmental, labor, or social security obligations with imposed monetary penalties; 1.6. If a sitting member of their management or supervisory body, partner in a general or professional partnership, limited partner in a limited partnership or joint-stock limited partnership, or proxy has been finally convicted or penalized for offenses as per item 1.5 a or b. - List of required documents/statements: The OFFER consists of the OFFER FORM - completed and submitted electronically, prepared using Annex 4 to the RFP. Along with the offer, the Contractor submits: a) Statement on no personal or capital ties with the Ordering Party as per item 5 annex 4 to RFP. For joint offers (civil partnerships and consortia), each contractor submits a separate statement; b) Statement on no sanctions as per item 6 annex 4 to RFP. For joint offers, each contractor submits a separate statement; c) Statements on no arrears in taxes, fees, social or health insurance contributions vis-à-vis Tax Office and Social Insurance Institution per item 7 annex 4 to RFP; d) Statement of no violation of environmental, social, or labor obligations per item 8.1-3 annex 4 to RFP; e) Statement that no sitting member of the management or supervisory body, partner or proxy has been finally convicted or penalized as per Chapter VI paragraph 1 item 1.5 a or b of RFP - per item 8.4 annex 4 to RFP; f) Current document confirming no grounds for exclusion as per Chapter VI paragraph 1 item 1.4 of RFP, e.g., excerpt or info from KRS, CEIDG or other register, if not available in free or publicly accessible electronic databases whose web address is indicated by the Contractor in the offer. Contractor is not required to submit these documents if the Ordering Party can obtain them from free public databases, provided the Contractor indicates access data. If documents are in another language, the Ordering Party may request a Polish translation. For national contractors listed in KRS or CEIDG, the Ordering Party will obtain the excerpt or info independently. For joint offers, each contractor submits this document separately; g) Power of attorney if a proxy is appointed - original or notarized copy. The power of attorney must clearly specify authorization related to the procurement procedure, particularly to sign and submit the offer; h) For joint offers - signed by all entities a power of attorney in original or notarized copy; i) For joint offers, documents under points a)-c) for each participating contractor must be signed by authorized representatives; j) Contractor's statement about business secrecy according to their own template, if offered information constitutes business secret; k) Statement about innovativeness of photovoltaic installation components confirming the offer's compliance with the Terms of Reference in Chapter IV of RFP, per item 1 Annex 4 to RFP; l) Documents such as datasheets containing info on technical, quality and safety parameters of devices and elements to assess conformity with requirements in Chapter IV of RFP; - guarantees provided by the manufacturer for devices and elements used according to Chapter IV RFP; m) List of works/supplies or services confirming fulfilment of participation conditions per Chapter VII paragraphs 1-2 of RFP, according to template in item 3.2 annex 4 to RFP. Evidence confirming proper completion includes references or other documents issued by the entity for which works/services/supplies were performed, and for recurring or ongoing services, if the Contractor cannot obtain such documents for reasons beyond their control – Contractor’s statement; for ongoing services, references must be issued within the last 3 months; n) List of persons confirming meeting participation conditions per Chapter VII paragraph 1 item 1.1 b RFP, template item 3.1 annex 4 to RFP. Documents confirming qualifications or permissions of persons involved in contract execution must be attached; o) Statement of having paid OC insurance policy or other insurance document confirming Contractor’s insurance for business activity, per item 3.3 annex 4 to RFP; p) Contractors applying jointly must also submit a statement specifying which construction works, supplies or services will be performed by each Contractor according to Annex 5 to RFP; q) Proof of bid bond payment Full content in RFP.
